Sub: Disclosure under Regulation 31(1) and 31(2) of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 (“SAST Regulations”) Dear Sir/Madam, Pursuant to Regulation 31(1) and 31(2) of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, we, Agilemed Investments Private Limited, being a Promoter of Medplus Health Services Limited (“the Company”), hereby inform the stock exchanges and the Company that on October 23, 2026 we have created additional pledges over an aggregate of 9,75,000 equity shares of the Company in favour of Catalyst Trusteeship Limited (acting as Debenture Trustee), comprising (i) 5,00,000 equity shares in respect of the Non-Convertible Debentures held by Modulus Alternatives Investment Managers Limited (formerly Centrum Alternative Investment Managers Limited); and (ii) 4,75,000 equity shares in respect of the Non-Convertible Debentures held by the Neo debenture holders, in order to maintain the Security Cover Ratio required under the respective Share Pledge Agreements, pursuant to the top-up notice dated October 19, 2026 issued by the Debenture Trustee. No fresh amount has been borrowed. Post the aforesaid creation of pledge, we hold an aggregate of 1,44,02,525 equity shares of the Company under pledge.
