Scrip Code: 540975 Scrip Symbol: ASTERDM Dear Sir/ Madam, Sub: Intimation regarding receipt of certified true copy of the order passed by the Hon’ble National Company Law Tribunal, Hyderabad Bench, approving the Scheme of Amalgamation Ref: Our letter dated 19 June 2026, and Regulation 30 read with Schedule III of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”) Further to our letter dated 19 June 2026 informing that the Hon’ble National Company Law Tribunal (“NCLT”), Hyderabad Bench had sanctioned the Scheme of Amalgamation between Quality Care India Limited (“QCIL” / “Transferor Company”) and Aster DM Healthcare Limited (“Aster DM” / “Transferee Company”) and their respective shareholders and creditors under Section 230 to 232 and other applicable provisions of the Companies Act, 2013 (“Scheme”). We would like to inform you that the Company has received the certified true copy of the order passed by the hon’ble NCLT approving the aforesaid Scheme on 23 June 2026. A copy of the order is available on the Company's website at www.asterdmhealthcare.in The Scheme shall become effective upon filing the certified copy of the aforesaid order with the Registrar of Companies by the respective companies and satisfaction of other conditionalities mentioned in the Scheme. Upon the Scheme becoming effective, QCIL shall stand being dissolved without winding up. The Company will intimate the Effective Date to the Stock Exchanges in due course.
