The appointment of Mr. Tahir Toloy Tanridagli as the MD & CEO will be subject to the approval of shareholders and other statutory approvals, as may be applicable; 2. noted that Mr. Vivek Sarbhai will cease to be Head – Supply Chain, India and Senior Management Personnel of the Company with effect from 31st October, 2026 consequent to a change in his designation within the Company; 3. based on the recommendation of the Nomination and Remuneration Committee, approved the appointment of Ms. Ansu Archana as Head – Supply Chain, India and Senior Management Personnel of the Company with effect from 1st November, 2026. Brief Profile Mr. Tahir Toloy Tanridagli, who is based in India and currently serves on the KWIL Board, has played an instrumental role in KWIL’s transformation journey following the demerger of the ice cream business from Hindustan Unilever Limited (“HUL”). In his new role as Managing Director and Chief Executive Officer of KWIL, he will be responsible for all aspects of managing and developing the largest listed pure-play ice cream business in India and will focus on driving KWIL's operational performance in its next phase of growth. As President of the METSA region (Middle East, Türkiye, Africa, Israel and South Asia) and a member of the Executive Leadership Team at The Magnum Ice Cream Company (TMICC), he will also provide strategic direction at a regional group level, while his operational role is confined to the Company in India. He holds a Bachelor of Arts degree in Business Administration from the Faculty of Economics and Administrative Sciences at Boğaziçi University. He completed his primary and secondary education in Germany and Türkiye. His career spans global organisations such as Kraft Foods–Mondelez and Unilever, where he has held leadership positions across multiple geographies. Most recently, he served as General Manager, Unilever Ice Cream, overseeing the Middle East, North Africa, Central Asia and Russia. During his 12-year tenure at Unilever, he also served as Vice President – Marketing for the Foods and Refreshment category across the Middle East, Africa and Russia. 4.
