Towers, Dalal Street, Bandra Kurla Complex Mumbai – 400 001 Bandra (E), Mumbai – 400 051 Company Code No.: 511076 Trading Symbol: AEROENTER Dear Sir/ Madam, Subject: Update on Outcome of Board Meeting of Aeroflex Neu Limited, the Material Subsidiary of the Company Pursuant to Regulation 30 read with Schedule III of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that the Board of Directors of Aeroflex Neu Limited (“Aeroflex Neu”), the Material Subsidiary of the Company at its meeting held today, i.e., Friday, October 30, 2026, inter alia, considered and approved to enter into wire and cable manufacturing and exporting business by acquiring 1,10,000 Equity Shares of Aerolex Cables Private Limited (“Aerolex”), representing 55% of its issued and paid-up share capital, for ₹ 3100 lakhs. The Board of Aeroflex Neu also approved the draft Share Purchase and Shareholders Agreements and ancillary transaction documents. Upon completion, Aerolex will become subsidiary of Aeroflex Neu Limited. Aeroflex Neu shall acquire additional Aerolex shares in subsequent tranche(s), subject to definitive agreements to be signed by the parties. The acquisition supports Aeroflex Neu’s growth and diversification plans by enabling it to enter and expand into the manufacturing of wire and wire-related products business. It will broaden its product range and strengthen its position in the AI Infra and Data Centre sector to establish an integrated platform for high-tech and critical engineering solutions.
