Ref: Scheme of Arrangement between Larsen & Toubro Limited (“Transferor Company/L&T”) and L&T Realty Properties Limited (“Transferee Company/LTRPL”) and their respective Shareholders and Creditors under Sections 230 to 232 and other applicable provisions of the Companies Act 2013,(the “Scheme of Arrangement”). In continuation with our earlier communication dated March 19, 2026 and pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that the Transferor Company has received today, the certified copy of the order from Hon’ble National Company Law Tribunal, Mumbai Bench, dated June 12, 2026 read with the order dated June 16, 2026Refer Note (the “Orders”), directing the Transferor Company to convene a meeting of the shareholders (through electronic mode) of the Transferor Company within 60 days from the date of passing of the Orders, seeking approval of shareholders for the proposed Scheme of Arrangement. A certified copy of the Order is enclosed herewith. The Transferor Company would finalise the date of the meeting and despatch the Notice of the meeting to shareholders as required under the Order. The said error does not affect the substance or directions contained in connection herewith in the order dated 12.06.2026 read with order dated 16.06.2026 (both of which are annexed hereto).
