Subject: Outcome of Board Meeting- Intimation under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 Dear Sir/Madam, Pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”) this is to inform you that the Board of Directors of the Company, at its meeting held today, i.e., Monday, July 27, 2026, has inter-alia: 1. Change in the Name of the Company Board of Directors of the Company have duly considered and approved change of the Company's name from “Raj Oil Mills Limited” to “Raj Industries Limited”, or such other name as approved & subject to approval by the Central Registration Centre (CRC), Ministry of Corporate Affairs and other relevant authority(ies), if any. This change is also subject to the approval of the members in a General Meeting and the subsequent amendment of the Memorandum of Association and Articles of Association of the Company to reflect the name as approved by respective authorities. 2. Allotment of Equity Shares and Warrants: Pursuant to the approval of the Board of Directors and Members of the Company at their respective Meetings held on May 12, 2026 and June 11, 2026 and pursuant to in-principle approval granted by BSE Limited and National Stock Exchange of India Limited vide their letters dated July 17, 2026: - Considered and approved Allotment of 10,00,000 equity shares of face value of Rs. 10/- each at an issue price of Rs. 46/- per Equity Share (including share premium of Rs. 36/- per equity share) on preferential basis to the persons as per details given in Annexure - A, upon receipt of an amount aggregating to Rs. 4,60,00,000/- (Rupees Four Crore Sixty Lakh only) at the rate of Rs. 46/- per Equity Share. - Considered and approved Allotment of 10,00,000 Warrants, each Warrant convertible into or exchangeable for 1 fully paid-up Equity Share of the Company having face value of ₹ 10/- each (“Warrants”) at a price of Rs. 46/- including premium of Rs. 36/- to the persons as per details given in Annexure - B, upon receipt of an amount aggregating to Rs. 1,15,00,000 (Rupees One Crore Fifteen Lakh only) at the rate of Rs. 11.50/- per Warrant, being 25% of the issue price per Warrant as upfront payment (“Warrant Subscription Price”). Further, each Warrant, so allotted, is convertible into or exchangeable for one fully paid-up Equity Share of the Company having face value of Rs. 10/- each within 18 months from the date of allotment of Warrants, in accordance with the provisions of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018, on payment of the balance consideration of Rs. 34.50 per Warrant, being 75% of the issue price per Warrant by the allottees pursuant to exercise of conversion option against each such Warrant. Pursuant to the aforesaid allotment of Equity Shares, the issued, subscribed and paid-up equity share capital of the Company stands increased from Rs. 14,98,86,840/- (Rupees Fourteen Crore Ninety Eight Lakh Eight Six Thousand Eight Hundred Forty only) to Rs. 15,98,86,840/- (Rupees Fifteen Crore Ninety Eight Lakh Eight Six Thousand Eight Hundred Forty only). The Company will be making an application to the stock exchanges for listing and trading approval for the above- mentioned Equity Shares in due course. Please take the same on your record.
