Dear Sir/Madam,
Sub: General update - Securities and Exchange Board of India (Listing Obligations
and Disclosure Requirements) Regulations, 2015.
Further to the earlier intimation dated December 21, 2025, regarding the Company’s
execution of a Leave and Licence Agreement with the Andhra Mahila Sabha Trust (a
public charitable trust) [“Trust” hereinafter] for taking on a long-term lease land
admeasuring approximately 1.168 acres (equivalent to 21.19 Grounds), located at Dr.
Durgabai Deshmukh Road, Raja Annamalai Puram, Chennai, Tamil Nadu-600028, for
the establishment of a Super Speciality Hospital, the following update is being
provided for the information of the general public.
Mrs. Lakshmi Murthy and Ms. Vidya Gajapathi Raju Singh, as plaintiffs seeking to
institute a representative suit in the interest of the public, initiated proceedings under
Section 92 of the Code of Civil Procedure, 1908, questioning the administration and
functioning of the Trust, including the manner in which the aforesaid lease transaction
was undertaken wherein the Company was arrayed as a party being the Defendant
No. 12. On July 29, 2026, the learned Single Judge granted leave to institute the suit
against the Defendants therein. The Trust’s appeal against the said order was
dismissed by the Division Bench on September 15, 2026, and the interim stay was
vacated, thereby permitting the suit proceedings to continue. Thereafter, the Company
approached the Hon’ble Supreme Court by way of a Special Leave Petition, which was
dismissed on October 27, 2026.
In this regard, it is clarified that the aforesaid proceedings relate to issues concerning
the administration of the Trust. The proceedings remain pending adjudication on their
merits, and no final determination has been made in respect of the allegations raised.
The aforesaid proceedings remain pending adjudication on their merits. However, no
order of injunction or stay restraining the Company from proceeding with the project
has been passed in the said proceedings. Since the Company’s rights and interests
under the Leave and Licence Agreement subject to its terms and applicable law,
continuous to prevail, the project’s commercial viability and underlying value remain
intact.
Thanking you,
Yours truly,
For Krishna Institute of Medical Sciences Limited
