Thanking you, For Meesho Limited (Formerly known as Meesho Private Limited and Fashnear Technologies Private Limited) Rahul Bhardwaj Company Secretary and Compliance Officer Membership No.: A41649 Encl.: As above Our Vision: Democratizing Internet Commerce for Everyone In this letter, we cover our Q2 FY27 financial performance and how the shift in festive timing affects the quarter, progress across Meesho Mall and Content Commerce, logistics efficiency and margins, why we look at free cash flow, how we fund new initiatives, and how AI agents are changing the way we build Meesho. Annual Transacting Sellers grew 60% YoY to 1.13 million. ● Placed Orders grew 17% to 819 million, while NMV grew 23% YoY to ₹12,911 crores. Last year’s Mega Blockbuster Sale (MBS) fell in Q2, while this year’s started in Q3. On a festive-aligned basis, NMV grew 33% YoY over the 90 days before Dussehra. ● Contribution Margin rose to 6.0% of NMV, from 4.6% in Q1. We will reinvest some of this in the user and seller experience and expect it to moderate in the near term. Last Twelve Months (LTM) Free Cash Flow stood at (₹565) crores and LTM Free Cash Flow to Equity stood at (₹163) crores, while quarterly free cash flow was ₹345 crores, boosted by seasonal working capital, with a cash balance of ₹7,048 crores. ● As we flagged last quarter, we raised growth spend to bring new users onto Meesho before the festive season, and secured compute capacity early, increasing our GPU footprint by 150%. As we flagged last quarter, our Mega Blockbuster Sale (MBS) moved from Q2 last year to Q3 this year, so Q2 will look softer than the underlying trend and Q3 stronger. The two are best read together. Several measures suggest underlying demand held up: ● Festive-aligned growth: Shopping in India follows the festival calendar, not fiscal quarters. Demand builds through Navratri and peaks around Dussehra and Diwali, and our sale is timed to that cycle. This year, Dussehra fell about 19 days later than last year, so the festive build-up moved partly out of Q2 and into Q3. Comparing the 90 days before Dussehra in each year lines up the same stretch of festive demand, sale included, regardless of where the quarter ends. On that basis, NMV grew 33% YoY. ● Quarter on quarter: NMV grew ~11% QoQ, in a quarter with no sale. ● Habit: LTM frequency rose 7% YoY to 10.4, even as first-time buyers grew 16% QoQ. New users take time to settle in, so frequency rising alongside them means existing users are shopping with us more often. ● NMV grew faster than orders this quarter mainly because last year was affected by temporary inefficiencies from consolidation in the third-party logistics industry, which did not recur this year. As a result, more of the orders customers placed were delivered. Meesho Mall ● Meesho Mall now hosts ~1,800 brands. Its NMV grew 81% YoY in Q2 FY27, and 89% in Tier 3+ cities, with about half of its customers in the quarter buying on Mall for the first time. Meesho Mall is commission-free, so brands can reach these customers without paying to get there, and shoppers get genuine brands at prices they can afford. ● What people buy on Meesho Mall is changing. When we started, most branded purchases were essentials such as soap, shampoo, detergent and diapers, and those purchases built trust. Today, the same customers are also buying face serums, sunscreens, conditioners and face rollers, and discretionary products make up a growing share of what they buy on Meesho Mall. These are first steps beyond the basics, taken in towns that many brands have not reached directly before. ● Our scale also lets us work closely with brands. We see emerging consumption trends, regional preferences and how shopping habits are changing in smaller towns. We share these insights with brands to help them understand these customers and plan for growth across the country. Content Commerce ● Content Commerce NMV grew 160% YoY in Q2 FY27, and the number of content pieces generating orders grew 144% to 2.2 million. What began as a way for customers to discover products is now how a growing number of them decide what to buy: they watch someone they trust use a product, then buy it. ● It works for everyone involved. Customers find products through creators they relate to, sellers reach demand they could not reach on their own, and creators earn from what they make. Over 4 lakh sellers are now part of the ecosystem. Because creators earn only when their content leads to a purchase, everyone’s incentives point the same way. Contribution Margin – Marketplace Contribution Margin rose to 6.0% of NMV in Q2 FY27, from 4.6% in Q1. Two things drove it: Revenue growth: Revenue from Operations (Marketplace) was ₹4,119.9 crores, up 34% YoY, as more sellers invested in ads that reliably convert into orders, and better matching of seller demand to user intent made every rupee they spend work harder. Logistics efficiency: greater network density, better network design, routing and partner allocation, and improvements in Geo-India LLM made delivery c.15% faster YoY and lowered cost per shipment as volumes grew, so each additional order now brings overall cost down while improving the experience. TrustMesh, our AI model for preventing abuse at scale, continues to get better at stopping potentially fraudulent orders before they are placed, so fewer shipments e [Showing first 8,000 characters — download PDF for full document]
