The above transfer constitutes an inter-se transfer of shares amongst the Promoters and Promoter Group of the Company. Accordingly, the aggregate shareholding of the Promoter and Promoter Group in the Company shall remain unchanged before and after the proposed transfer. The proposed inter-se transfer of shares is intended to fall within the exemption provided under Regulation 10(1)(a)(ii) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 subject to fulfilment of the prescribed conditions. In this regard, it may be noted that Mrs. Sulakshana Suresh Chowgule (wife of Mr. Suresh Chowgule), Mrs. Surekha Dilip Chowgule (wife of Mr. Dilip Chowgule) and Ms. Girija Dilip Chowgule (daughter of Mr. Dilip Chowgule) have not been individually reflected in the list of Promoters disclosed in the Shareholding Pattern of the Company, as they held NIL (0) equity shares in the Company.
