Sub: Board Comments on fines levied by the Exchanges for non-compliances of certain Regulations of
SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
Sir / Madam,
This is with reference to NSE’s and BSE’s e-mails dated August 25, 2026 and September 29, 2026 imposing
fines of ₹10,23,060/- each on the Company for non-compliances with the provisions of Regulations 17(1),
18(1),19(1)/(2), 20(2)/(2A), & 21(2) of the SEBI (LODR) Regulations, 2015 for the Quarter ended June 30, 2026
and ₹29,500/- each for non-compliance of the Regulation 44(5) of Listing Regulations for the FY 2025-26.
As advised by the Stock Exchanges, the matter of the aforesaid non-compliances was placed before the Board of
Directors of the Company at its meeting held on October 28, 2026. The Board deliberated upon the matter and
noted that “the non-compliances relating to Regulations 17(1), 18(1), 19(1)/(2), 20(2)/(2A), and 21(2) of the SEBI
LODR Regulations were due to reasons beyond the control of the Company. The Company had taken proactive
steps by informing and requesting its administrative ministry, the Ministry of Railways, well in advance regarding
the potential non-compliances. The Board expressed its concern regarding the notices received from BSE & NSE
and advised that the administrative ministry be requested on a regular basis to expedite the appointment of the
requisite number of Independent Directors, including a Woman Independent Director, on the Board of IRCTC to
ensure compliance with the SEBI LODR Regulations, the Companies Act, 2013, and other applicable laws.
Further, due to the non-receipt of comments from the Comptroller and Auditor General of India (C&AG) within the
requisite timeframe, the Company was unable to convene its 27th Annual General Meeting (AGM) by August 31,
2026 in accordance with the timeline prescribed under Regulation 44 of the SEBI (LODR) Regulations, 2015. The
Board also noted that upon receipt of C&AG comments on September 04, 2026, the Company had dispatched
the Notice along with full Annual Report on September 07, 2026, ensuring compliance with Regulation 36 of the
SEBI LODR Regulations, Sections 136 and 143 of the Companies Act, 2013, and the Secretarial Standard on
General Meetings (SS-2) issued by ICSI and successfully conducted its 27th AGM on September 29, 2026. The
Board accordingly authorised the Director (Finance) & Company Secretary to submit a formal request to NSE and
BSE for waiver of the fines imposed.”
This is for your kind information and record please.
Thanking you,
For and on behalf of Indian Railway Catering and
Tourism Corporation Limited
