Enabling approval for raising funds: The Board noted the significant growth opportunities available across the Bank's businesses, supported by its diversified business model, expanding customer base and the favorable long-term outlook for the Indian economy. The Board also noted that the Bank has developed strong capabilities across its businesses and demonstrated an ability to participate in these opportunities in a scalable and profitable manner. With a view to maintaining strong capital adequacy and providing flexibility to access capital markets, as and when required, the Board granted enabling approval for raising funds through: (a) issuance of equity securities, through one or more permissible modes, in accordance with applicable laws, up to an aggregate amount of ₹ 7,500 crore (Rupees Seven Thousand Five Hundred Crore only); and (b) issuance of debt instruments and/or other eligible instruments, in one or more tranches, denominated in Indian rupees and/or permitted foreign currencies, as may be allowed under applicable laws, up to an aggregate amount of ₹ 12,500 crore (Rupees Twelve Thousand Five Hundred Crore only), over and above the outstanding debt securities of the Bank and within the overall borrowing limits of the Bank. The aforesaid approvals shall be valid for a period of one (1) year from the conclusion of the ensuing Annual General Meeting of the Bank and shall be subject to the approval of the shareholders and such regulatory approvals as may be required under applicable laws. The approval is enabling in nature and does not create any immediate obligation on the Bank to raise capital. B. Change in Directorate Upon completion of his second term and the maximum tenure permissible under applicable banking regulations, Mr. Pravir Vohra (DIN: 00082545) shall cease to be an Independent Director of the Bank with effect from the close of business hours on July 31, 2026. The Board has placed on record its deep appreciation for his valuable guidance and exceptional contributions during his tenure as an Independent Director of the Bank. Change in Senior Management Personnel Pursuant to RBI Circular No. RBI/2010-11/554 DBS.CO.FrMC.BC.No.9/23.04.001/2010-11 (“RBI circular”), Mr. Nilesh Doshi shall cease to be the Chief Vigilance Officer (“CVO”) of the Bank, designated as Senior Management Personnel (“SMP”) upon completion of his tenure, with effect from August 16, 2026. Accordingly, based on the succession plan and the recommendation of the Nomination and Remuneration Committee, the Board has approved the elevation and appointment of Mr. Anurag Mishra as the CVO of the Bank, designated as SMP, with effect from August 17, 2026. The details required under the SEBI Master Circular are enclosed as Annexures B & C. D. Amendment to Articles of Association The Board approved amendments to the Articles of Association through modification of existing Article 101A and insertion of a new Article 101B. The new Article is an enabling provision for appointment of non-executive, non-independent director(s) nominated by eligible investor(s), in accordance with the terms of applicable investment agreement(s), subject to the approval of the Board, shareholders, regulatory authorities and compliance with applicable laws. Such nomination rights shall cease upon the investor’s shareholding falling below 5% of the paid-up share capital of the Bank. The aforesaid amendments to the Articles of Association shall be subject to the approval of the shareholders, the RBI and such other approvals as may be required. E. Record Date – Final Dividend for FY 2025-26: Pursuant to Regulation 42 of the SEBI Listing Regulations, the Board has fixed Friday, August 7, 2026, as the Record Date for determining the eligibility of Members entitled to receive the final dividend recommended by the Board at its meeting held on April 25, 2026, subject to the approval of the shareholders at the ensuing Annual General Meeting (“AGM”).
