Independent Auditor's Limited Review Report on Quarterly Unaudited Standalone
Financial Results of Venus Remedies Limited Pursuant to the Regulation 33 of the SEBI
(Listing Obligations and Disclosure Requirements) Regulations, 2015t as amended
The Board of Directors
VENUS REMEDIES LIMITED
1. We have reviewed accompanying statement of unaudited standalone financial results of
VENUS REMEDIES LIMITED ("the Company"), for the Quarter and half year ended
30tr' September 2026 ("the Statement"), being submitted by the company pursuant to the
requirement of Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015, as amended.
2. This Statement which is responsibility of company's Management has been prepared in
accordance with recognition and measurement principles laid down in Indian Accounting
Standard 34 (Ind AS 34) for Interim Financial Reporting, prescribed, under Section 133 of the
Companies Act,2013, as amended read with relevant rules issued thereunder; or by the Institute
of Charlered Accountants of India, as applicable and other accounting principles generally
accepted in India. The Statement has been approved by the Company's Board of Directors. Our
responsibility is to report a conclusion on these statements based on our review.
3. We conducted our review of the Statement in accordance with the Standard on Review
Engagements (SRE) 2410 "Review of Interim Financial Information Performed by the
Independent Auditor of the Entity", issued by the Institute of Chartered Accountants of India.
This standard requires that we plan and perform the review to obtain moderate assurance as to
whether the flnancial results are iree of material misstatement. A review of interim financial
infbrmation consists of making inquiries, primarily of persons responsible for financial and
accounting matters, and applying analytical and other review procedures. A review is
substantially less in scope than an audit conducted in accordance with Standards on Auditing
and consequently does not enable us to obtain assurance that we would become aware of all
significant matters that might be identified in an audit. Accorclingly, we do not express an audit
opinion.
Based on our review conducted as above, nothing has come to our attention that causes us to
believe that the accompanying statement of unaudited flnancial results prepared in accordance
with applicable Indian accounting standards and other recognized accounting practices and
policies has not disclosed the inlbrmation required to be disciosed in terms of Regulation 33
oflhe SEBI (Listing Obligations and Disclosure Requirements) Regulations,2015, as amended
including the manner in which it is to be disclosed. or that it contains any material
misstatement.
Delhi Off. 503-504, Chiranjiv Tower 43, Nehru Place, New
Emphasis of matter:
1. We draw attention to Note 5 of the accompanying Statement, which describes the outstanding
share application money amounting to INR 2,859.72 Lakhs in respect of Venus Pharma GmbH,
a wholly owned subsidiary of the Company. The share allotment against this amount has been
pending and as per management representation it is not mandatory to allot under the applicable
laws of Gennany
Management has represented that they consider this investment strategic in nature and that the
parent company intends to recover this amount in due course as a result of the restructuring of
European operations carried out by the Management in FY 2026-27 . Although the subsidiary
is currently facing financial challenges, the Company has reiterated its intention to provide the
necessary financial and operational support during the transition period.
Our conclusion is not modified in respect of these matters.
