The EGM Notice has been dispatched to the Members of the Company on 10th October, 2026, in due compliance with the provisions of the Companies Act, 2013, read with the relevant rules made thereunder, the circulars issued by the Ministry of Corporate Affairs and Securities and Exchange Board of India (‘SEBI’), and other applicable laws. Pursuant to the queries/observations received from the National Stock Exchange of India Limited and BSE Limited (collectively, the “Stock Exchanges”), the Company has been advised to obtain a valuation report from an independent Registered Valuer in connection with the proposed preferential issue of fully convertible warrants to the Promoter and Promoter Group of the Company. The Members are requested to take note of the following modification: 1. Item No. 2 – Explanatory Statement, Point IV appearing on pages 23 and 24 of the EGM Notice, shall be substituted and read as follows: IV “Basis on which the floor price has been arrived at and justification for the price (including premium, if any)” The Equity Shares of the Company are listed on the BSE Limited and the National Stock Exchange of India Limited (collectively “Stock Exchanges”) and are ‘frequently traded shares’ as per Chapter V of the SEBI ICDR Regulations.
