Further, the alteration to the MOA has been approved and registered by the Registrar of Companies. Summary of Amendments in MOA of the Company The Board of Directors at their meeting held on September 3, 2026, proposed amending the Object Clause by inserting new clauses to include additional business activities aims to expand the Company’s long-term strategic vision to diversify and expand its business operations. The approval of shareholders was obtained at the Annual General Meeting held on September 29, 2026 for alteration in the existing Object Clause of the Memorandum of Association (the “MoA”) of the Company by adding the following as sub-clause 4 in Clause III A of the MoA: Clause No. 4: To carry on the business of developing, designing, customising, operating, maintaining, licensing, selling and providing software, mobile and web applications, cloud-based and SaaS solutions for businesses, organisations and individuals, including business support, expense and cost management, accounting, invoicing, employee and resource management, workflow and organisation management, automation, analytics and other business functions, to facilitate through its platform/API-based integrations for all type of ticket booking management and administration of travel, accommodation and other related services, and to provide related consultancy, implementation, integration, technical support, maintenance, hosting and allied technology services.
