The Board noted that the aforesaid resolution dated 30th May, 2026 was approved with reference to the applicable provisions of the Income-tax Act, 1961, including Section 44AB thereof. In view of the applicability of the Income-tax Act, 2025, the Board approved the amendment of statutory references contained in the said resolution by substituting the reference to the Income-tax Act, 1961 and Section 44AB thereof with the corresponding provisions of the Income-tax Act, 2025, including Section 63 thereof, wherever applicable. The Board further confirmed the re-appointment of M/s. Avnish Sharma & Associates, Chartered Accountants (Firm Registration No. 009398N) as the Tax Auditor of the Company for the Tax Year 2026- 27 (corresponding to the Financial Year ending 31st March, 2027), for conducting the tax audit under the applicable provisions of the Income-tax Act, 2025 and undertaking such other certifications, reports and compliances as may be required under applicable law. The Board further noted that the aforesaid amendment is consequential in nature and does not result in any change in the appointment of the Tax Auditor, remuneration or other terms and conditions approved earlier. All other terms and conditions of the Board Resolution dated 30th May, 2026 shall continue to remain unchanged and in full force and effect.
