Requirements) Regulations, 2015 – Material Litigation
Dear Sir/Madam,
Pursuant to Regulation 30 read with Para B of Part A of Schedule III of SEBI (Listing
Obligations and Disclosure Requirements) Regulations, 2015, read with SEBI Master Circular
No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated 30th January, 2026, please find below
the details with respect to a material tax litigation for AY 2016-17, the notice of which has been
received by the Company on 19th June 2026 around 12:30 p.m.:
Particulars
a) brief details of litigation viz. The Company had an Income Tax matter for AY 2016-
name(s) of the opposing party, 17 (FY 2015-16) inter-alia involving transfer pricing
court/ tribunal/agency where
adjustment in respect of certain specified domestic
litigation is filed, brief details of
transactions which were decided in favour of the
dispute/litigation;
Company by the Income Tax Appellate Tribunal
b) expected financial implications, (ITAT), Delhi vide its order dated 30th June 2025.
if any, due to compensation,
It has come to our notice that the Principal
penalty etc.;
Commissioner of Income Tax 1, New Delhi, has filed
c) quantum of claims, if any; an appeal before the Hon’ble High Court of Delhi
against the said order of ITAT on certain issues. The
appeal involves tax effect of Rs. 35.83 crore.
It may be noted that the issue is covered in favour of
the Company by the order of the Delhi High Court
jurisdiction for the AY 2014-15 (FY 2013-14).
The matter is presently listed for hearing before the
Hon’ble High Court of Delhi.
