Dear Sir/Madam, In continuation of our letter dated 20th March, 2026 and pursuant to Part A Para A of Schedule III of Regulation 30 of the SEBI Listing Regulations and in terms of SEBI circular HO/49/14/14(7)2025-CFD- POD2/I/3762/2026 dated 30th January, 2026, we hereby wish to inform that, the Company had approved an investment of up to USD 20,000 for incorporation of its Wholly Owned Subsidiary (WOS) in Brazil, namely, SKIPPER LATAM LTDA, at the Board Meeting held on 31st July, 2025. The Company had also intimated the Stock Exchanges that the share capital of the said WOS would be BRL 1,00,000/-. In this regard, the Company has remitted USD 19,560 towards the aforesaid investment, which is within the approved limit. However, owing to foreign exchange rate fluctuations, the actual amount received by the WOS in Brazil is BRL 1,01,144.76, resulting in an excess amount of BRL 1,144.76 over the initially intimated share capital. In view of the same, the revised share capital of the WOS stands at BRL 1,01,144.76.
