India (Listing Obligations and Disclosure Requirements) Regulations, 2015
Dear Sir/Ma’am,
Pursuant to Regulation 30 read with Schedule III of the Securities and Exchange Board of
India (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to
inform you that the Board of Directors of the Company, at its meeting held on Friday, July
24, 2026, has, inter alia, approved the following, subject to the approval of the
shareholders of the Company:
1. Adoption of new set of Memorandum of Association (“MOA”) of the Company as per Table-
A of Schedule I of Companies Act, 2013; and
2. Alteration of the Object Clause of the Memorandum of Association of the Company by
substituting the existing Sub-clause 3 of Clause 3(a).
3. Deletion of Clause 3(c) (Other Objects) and Incorporation of an Additional Clause under
Clause 3(b) of the Memorandum of Association titled "Matters which are Necessary for
Furtherance of the Objects Specified in Clause 3(a) are"
The Board has approved the aforesaid alteration with a view to expanding the scope of the
Company's business activities and enabling the Company to undertake additional business
operations that are incidental or conducive to its existing and future business objectives.
The approval of the shareholders for the above matters shall be sought at the ensuing
Annual General Meeting of the Company.
Further, the details required under Regulation 30 of the SEBI Listing Regulations read with
Para A of Part A of Schedule III thereto and SEBI Circular No.
SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024, are enclosed herewith as
Annexure - A.

Details required under regulation 30 of Securities and Exchange Board of India (Listing Obligations
and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No.
SEBI/HO/CFD/PoD2/CIR/P/0155 November 11, 2024:
1. Adoption of new set of Memorandum of Association (“MOA”) of the Company as per Table-A
of Schedule I of Companies Act, 2013
S. No. Mutation / Changes
1. The existing Memorandum of Association (‘MOA’) of the Company is based on the
provisions of the Companies Act, 1956 (the “erstwhile Act”). The alteration of MOA is
necessary to align the existing MOA with Companies Act 2013 (‘the new Act’).
2. Renaming Clause III(B): The existing Clause III(B) of the Objects Clause shall be re-titled
as "Matters which are necessary for furtherance of the objects specified in Clause III(A)".
34. . Alignment of Other Clauses: The remaining clauses of the Memorandum of Association
shall be suitably amended to bring the language and format of the MOA in conformity with
the provisions of the Companies Act, 2013.
2. Alteration of the Object Clause of the Memorandum of Association of the Company by
substituting the existing Sub-clause 3 of Clause 3(a).
S. No. Mutation / Changes
1 The Company proposes substituting the existing Sub-clause 3 of Clause III(a) (Main
Objects) of the Memorandum of Association to provide greater clarity regarding the
Company's proposed business activities and to enable the Company to undertake
additional business activities in accordance with applicable laws. The revised object is as
follows:
“To render services for the safe keeping, custody and management of documents, articles,
valuables and assets of every kind, including wills, trust deeds, title deeds, agreements and
other records; and to act as custodians, trustees, executors, co-executors, administrators,
managers, escrow agents, nominees, advisors or in any other fiduciary capacity, either alone
or jointly with others, in respect of movable and immovable properties, assets and estates,
whether in India or abroad, either directly or through agents, contractors or other
intermediaries, and to undertake all such activities as may be incidental, conducive or
beneficial to the aforesaid objects, to the extent permitted by applicable law.”
3. Deletion of Clause 3(c) (Other Objects) and Incorporation of an Additional Clause under
Clause 3(b) of the Memorandum of Association titled "Matters which are Necessary for
Furtherance of the Objects Specified in Clause 3(a) are"
S. No. Mutation / Changes
1 The existing Clause 3(c) (Other Objects) of the Memorandum of Association is proposed to
be deleted in its entirety, as the concept of "Other Objects" is no longer recognized under
the Companies Act, 2013. Consequently, new clause, numbered 53, shall be inserted under
Clause 3(b) - "Matters which are necessary for furtherance of the objects specified in
Clause 3(a) are". The following renumbered clause 53 is:
“53. To promote, finance, invest in and/or own projects for generation of power from solar,
wind, hydro and other renewable energy sources, whether grid-connected or off-grid, directly
or through SPVs, within the limits permitted under applicable laws and RBI regulations,
without changing the principal business of the Company as an NBFC.”
