The Company hereby provides the following clarifications and additional disclosures in relation to the explanatory statement accompanying the Original Notice: 1. Clarification regarding consideration other than cash in respect of outstanding unsecured loans. With reference to Item No. 2 of the Special Business and the corresponding explanatory statement in the Original Notice, relating to the proposed preferential issue of up to 4,19,01,840 equity shares of face value ₹1 each at an issue price of ₹8.15 per equity share, aggregating to ₹34,15,00,000, towards conversion of outstanding unsecured loans of the Promoter Group, the following clarification shall be read as part of the explanatory statement: The proposed preferential allotment of equity shares is for consideration other than cash. The consideration payable towards subscription to the equity shares shall be discharged by way of adjustment and set-off against the respective verified outstanding unsecured loan balances payable by the Company to the proposed allottees. Accordingly, no fresh cash consideration is proposed to be received by the Company pursuant to the aforesaid conversion of outstanding unsecured loans. 2. Additional disclosure regarding the pre-preferential shareholding of Madhav Power Private Limited With reference to the disclosures relating to the proposed allottees under Item No. 2 of the Special Business and the explanatory statement in the Original Notice, the following additional information regarding the pre-preferential shareholding of Madhav Power Private Limited is provided: Madhav Power Private Limited, belonging to the Promoter Group, holds 1,30,000 equity shares of the Company prior to the proposed preferential issue.
