Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”) and in continuation of our earlier intimation dated August 14, 2025 , September 03, 2025 and October 01, 2026, in relation to Scheme of Amalgamation of FUTECH INTERNET PRIVATE LIMITED ("Transferor Company"), wholly owned subsidiary of the Company, with ANKA INDIA LIMITED ("Transferee Company") and their respective shareholders, we wish to further inform you that aforesaid Scheme of Amalgamation has been Sanctioned by the Hon'ble National Company Law Tribunal (NCLT), New Delhi Bench (COURT-V). A copy of the aforesaid order is available on the website of the Company at www.ankaindia.com/investors/ and on the website of the Hon’ble National Company Law Tribunal (NCLT). The Scheme of Amalgamation with an Appointed Date of April 1, 2025, is subject to fulfilment of the conditions stipulated in the Scheme and the respective orders passed by the Hon’ble National Company Law Tribunal, Delhi Bench and Chandigarh Bench, including completion of the requisite statutory and regulatory compliances and filings with the respective Registrar of Companies. The Scheme shall become effective in accordance with the terms thereof and the directions contained in the respective orders of the Hon’ble NCLT.
