Scrip Code - 530163 Dear Sir, Sub.: Allotment of 6,55,000 (Six Lakh Fifty-Five Thousand) fully paid-up Equity Shares on a preferential basis. Pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended (“SEBI LODR Regulations”) and further to our intimations dated September 5, 2026, September 22, 2026 and September 29, 2026, we, Kerala Ayurveda Limited (“the Company”), would like to inform that the Board of Directors of the Company, vide resolution passed on October 21, 2026 has approved the allotment of 6,55,000 Equity Shares of face value Rs. 10/- each (“Equity Shares”) at a price of Rs. 190.37/- per equity share, by partially adjusting the existing unsecured loan of Rs. 12,46,92,350/- of Katra Holding Private Limited, person belonging to Promoter Group Category (“Proposed Allottee”/ “Lender”) towards the share price for the issue. Consequent to the said allotment, the Paid-up Equity Share Capital of the Company has increased from Rs. 12,99,50,850/- (Rupees Twelve Crores Ninety-Nine Lakhs Fifty Thousand Eight Hundred and Fifty) divided into 1,29,95,085 (One Crore Twenty-Nine Lakhs Ninety-Five Thousand and Eight-Five) Equity Shares of Rs. 10/- (Rupees Ten only) each to Rs. 13,65,00,850 (Rupees Thirteen Crores Sixty- Five Lakhs Eight Hundred and Fifty) divided into 1,36,50,085 (One Crore Thirty-Six Lakhs Fifty Thousand and Eighty-Five) Equity Shares of Rs. 10/- (Rupees Ten only). The allotment has been undertaken in accordance with the provisions of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018 and other applicable rules/regulations /guidelines, if any, prescribed by any other regulatory or statutory authorities. The Equity Shares will be listed on BSE Limited.
