October 20, 2026 BSE Limited Phiroze Jeejeebhoy Towers, Dalal Street, Mumbai - 400 001 Scrip Code – 526783 Dear Sir / Madam, Sub: Outcome of the Board Meeting held on October 20, 2026 Ref: - Scheme of Amalgamation between Dr. Agarwal’s Eye Hospital Limited and Dr. Agarwal’s Health Care Limited and their respective shareholders and creditors (“Scheme”) under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 and - Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”) In continuation to our earlier letter dated October 05, 2026, intimating the receipt of Sanction from the Hon’ble National Company Law Tribunal, Chennai Bench (“NCLT”), towards the above referred Scheme and pursuant to the captioned subject & reference, we wish to inform that the Board of Directors of Dr. Agarwal’s Eye Hospital Limited (“Company” / “Transferor Company”) at its meeting held today, i.e., Tuesday, October 20, 2026, has, inter-alia, noted, considered & approved the following: A. Effectiveness of the Scheme of Amalgamation The certified copy of the Order dated September 30, 2026, passed by the NCLT, sanctioning the Scheme was taken on record. The Board further noted that with the filing of the certified copy of the NCLT Order in Form INC-28 with the Registrar of Companies (“ROC”) on October 14, 2026, Chennai, all conditionalities specified under Clause 24 of the Scheme stand satisfied. Accordingly, the Scheme shall become effective and operative from November 01, 2026 (Effective Date), with the Appointed Date being April 01, 2026. B. Fixation of Record Date for Allotment of Consideration Shares to the eligible shareholders of the Company pursuant to the Scheme of Amalgamation In compliance with Regulation 42 of the SEBI Listing Regulations and pursuant to the Scheme, the Board of Directors of the Company, has fixed Wednesday, November 18, 2026 as the Record Date for determining the eligible equity shareholders of the Company entitled to receive Consideration Shares of Dr. Agarwal’s Health Care Limited (“Transferee Company”) as per the approved Share Exchange Ratio below: “23 (Twenty-Three) fully paid-up Equity Shares of face value of ₹1 each of Dr. Agarwal’s Health Care Limited for every 2 (Two) fully paid-up Equity Shares of face value of ₹10 each held in Dr. Agarwal’s Eye Hospital Limited” C. Dissolution of the Board of Directors of the Company The Board of Directors took note that pursuant to Clause 23 of the Scheme, upon the Scheme becoming effective on November 01, 2026 (Effective Date), the Transferor Company shall stand dissolved without being wound-up. Consequently, with effect from November 01, 2026, the Board of Directors of the Company shall, without any further acts, resolutions, filings, instruments, or deeds, cease to exist and stand dissolved, and the Company’s status shall be changed to Amalgamated as per the records of the Registrar of Companies.
