I, Brajesh Gupta, Company Secretary in Practice have Membership No. ACS 33070, CP 21306, and proprietor of M/s. Brajesh Gupta & Co, Company Secretaries in Indore has been appointed as the Scrutinizer by the Board of Directors of the Company vide resolution passed on 30th June, 2026 as required under Section 108 of the Companies Act, 2013 read with rule 20 of the Companies (Management and Administration) Rules, 2014 and the provisions of regulation 44 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and also scrutinizing voting through electronic system in accordance with General Circular No. 02/2020 dated 13th January, 2020,14/2020 dated 8th April 2020, 17/2020 dated 13th April 2020, 20/2020 dated 5thMay 2020,circular No. 02/2022dated 5th May 2022, circular No.11/2022 dated 28th December, 2022,circular No. 09/2023 dated 25th September, 2023 and circular no. 09/2024 dated 19th September 2024 respectively, issued by Ministry of Corporate Affairs (MCA) (collectively referred to as "MCA Circulars"), Government of India in respect of the below mentioned resolutions proposed at the Extra Ordinary General Meeting of the members of the Company held on 22nd July, 2026 through Video Conferencing (VC) or Other Audio Visual Means (OAVM), without physical presence of the Members at a common venue: (i) Remote e-voting process done by the shareholders of the Company pursuant to the provisions of Section 108 of the Companies Act, 2013 read with rule 20 of the Companies (Management and Administration) Rules, 2014; and (ii) Electronic Voting at the EOGM held on Wednesday, 22nd July, 2026 under the provisions of Section 109 of the Companies Act, 2013 read with rule 21 of the Companies (Management and Administration) Rules, 2014 further read with MCA Circulars and SEBI Circulars. The management of the company is responsible to ensure the compliance with the requirements of the relevant provisions of the Companies Act, 2013 and the Rules made there under and the Listing Regulations issued, voting by electronic means. Our responsibility as Scrutinizer is restricted to make a Scrutinizer’s Report of votes cast by the members for the resolutions contained in the notice based on report generated from the electronic platform provided by National Securities Depository Limited, the authorized agency to provide e-voting facilities, engaged by the Company. I submit my report as under: 1. As per the confirmation given by the Company, the Notice of EOGM and Corrigendum to the Notice of EOGM has been mailed by the company through electronic mode to those members who have registered their email addresses with the Company or their Depository Participant in compliance with the aforesaid MCA Circulars and SEBI Circular, the company has also informed that the Company has also given the publication in the Daily English and Vernacular language for Notice of EOGM and Corrigendum to the Notice of EOGM. 2. The E-voting period remained open from Sunday, July 19, 2026, 9.00 a.m. and ended on Tuesday, July 21, 2026, 5.00 p.m. and the shareholders holding shares as on the “cut-off” date i.e., Wednesday, July 15, 2026 were entitled to vote on the proposed resolution as set out in the Notice of the EOGM of the Company. 3. The Company had appointed NSDL for providing facilities to the shareholders for participation in the EOGM through VC/OAVM and conducting the electronic voting by the shareholders at the EOGM. After the time fixed for the closing of electronic voting at EOGM by the Chairman, voting was closed and votes cast were unblocked. Thereafter, the details containing, inter-alia, list of equity shareholders, who voted “For” and “Against”, were download from the e-voting website of National Securities Depository limited i.e. (https://www.evoting.nsdl.com ). 4. Attendance in EOGM and Voting on Resolution by the Members: A total of 38 members attended the Extraordinary General Meeting ("EOGM") of the Company. The voting status of the members present at the meeting was as follows:  16 members had already exercised their voting rights through Remote E-Voting prior to the commencement of the EOGM.  6 members cast their votes through the E-Voting facility made available at the EOGM venue.  The remaining 16 members attended the EOGM but did not exercise their voting rights through either the Remote E-Voting facility or the E-Voting facility available at the meeting. As per the voting data provided by National Securities Depository Limited (NSDL), a total of 84 members exercised their voting rights on the resolutions placed before the EOGM, comprising:  75 members who cast their votes through the Remote E-Voting facility; and  9 members who cast their votes through the E-Voting facility at the EOGM venue. Accordingly, based on the voting data furnished by NSDL, 84 members validly exercised their voting rights in respect of the resolutions transacted at the EOGM. 5. The e-voting results with details of equity shareholders who have voted in favour of the Resolution or against the Resolution and those who have abstained from voting were downloaded from the website of National Securities Depository limited i.e. (https://www.evoting.nsdl.com). 6. The votes casted through remote E-voting were unblocked by me on Wednesday, 22nd July, 2026 at 3.05 p.m. after the conclusion of the EOGM and downloaded from the E-voting website of National Securities Depository limited i.e. https://www.evoting.nsdl.com, in the presence of 2 [Showing first 8,000 characters — download PDF for full document]
