The Scheme authorizes the creation and grant of up to 85,17,645 (Eighty-Five Lakh Seventeen Thousand Six Hundred Forty-Five} Equity Shares of Rs. 10 (Ten} each (representing 5% (Five percent] of the paid-up capital as of March 31, 2025) to eligible employees. v. The Settlor has resolved to implement the Scheme through the Trust Route, authorizing the Trust to acquire shares via Primary Issuance, Secondary Acquisition, or both, up to a maximum of 85,17.645 (Eighty-Five Lakh Seventeen Thousand Six Hundred and Forty-Five) Equity Shares of Rs. 10 (Ten} each. vi. The Settlor intends to establish a trust for implementing a share-based benefits scheme for it~ employees in accordance with the Securities and Exchange Board of India (Share Based Employee Benefits and Sweat Equity) Regulations, 2021, as amended (the "SEBI SBEB Regulations"}. vii. The Settlor has handed overto the Trustees a sum of Rs. 1.000/· (Rupees One Thousand only} (the "Initial Corpus"} towards d1e initial settlement of the SPL ESOP Trust (the "Trust"}. viii. The Settlor is desirous ofs ettling the Trust under and in accordance with the provisions of the Indian Trusts Act, 1882, through this Indenture of Trust (the "Indenture"} for the aforesaid purpose. The Trustee(s} shall act as the trustee(s) of the Trust in accordance with the terms and conditions contained in this Indenture. ix. Any term not defined under this Deed but defined in the Shriram Properties Employee Stock Option Scheme 2025 shall have the meaning assigned to it under the ESOS 2025.
