FC/SE/2026-27/51 October 16, 2026 National Stock Exchange of India Limited BSE Limited Exchange Plaza, C – 1, Block G, Phiroze Jeejeebhoy Towers, Bandra-Kurla Complex, Bandra (E), Dalal Street, Mumbai-400051 Mumbai-400001 Symbol: FIRSTCRY Scrip Code: 544226 Subject: Disclosure pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 Ref: Our earlier intimation dated October 07, 2026, bearing reference number FC/SE/2026-27/48 Dear Sir/Ma’am, This is in furtherance to our intimation dated October 07, 2026, wherein we had informed the Exchanges that GlobalBees Brands Private Limited (“Globalbees”), a Subsidiary of Brainbees Solutions Limited (“the Company”), entered into a Memorandum of Understanding (“MoU”) on October 07, 2026, for the sale of its entire 51.54% shareholding in its Subsidiary, Mush Textile Private Limited (“Mush”), a Step-down Subsidiary of the Company, to Mr. Nihar Gosalia, an existing shareholder of Mush and Mr. Vaishvik Brahmbhatt (collectively, the “Purchasers”), who have agreed to acquire 13.45% and 38.09% of the shareholding, respectively, in Mush, for an aggregate consideration of Rs. 5,68,93,940/- (Globalbees, Mush and the Purchasers are hereinafter collectively referred to as “Parties”). The aforesaid transaction was proposed to be completed on or before October 15, 2026. In this regard, we hereby further wish to inform you that the Company has received an e-mail communication of even date from Globalbees informing that, the parties to the aforesaid transaction have, at the request of the Purchasers, executed an addendum to the MoU on today i.e., October 16, 2026, pursuant to which the parties have mutually agreed to extend the timeline for completion of the proposed transaction from October 15, 2026, to on or before November 30, 2026. The other terms and conditions of the MoU shall remain unchanged, except as amended by the aforesaid addendum.
