Financial Results: The Unaudited Standalone and Consolidated Financial Results of the Company for the quarter ended on June 30, 2026, prepared in accordance with Regulation 33 of the Listing Regulations. The Limited Review Reports issued by the Statutory Auditors of the Company, on the aforesaid financial results. The said financial results, along with the Limited Review Reports, are enclosed herewith as Annexure –A and are also available on the Company’s website at www.zfindia.com. 2. REVISION IN THE PROJECT COST FOR THR ALUMINIUM PROJECT OF THE WHOLLY OWNED SUBSIDIARY – DRIVESYS SYSTEMS PRIVATE LIMITED: Pursuant to the provisions of Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform that Board of DriveSys Systems Private Limited (DriveSys) (CIN: U24202PN2022PTC210785), a wholly owned subsidiary of the Company, has decided to revise upward the project cost from Rs. 100 crore to Rs. 150 crore for its Aluminium Project being set-up. The revision in the project cost is primarily on account of the addition of equipment to enhance value addition in the aluminium extrusion products proposed to be manufactured, including facilities for anodizing, machining, cutting, punching, assembly and other downstream processing activities so as to make the unit as Integrated Aluminium Value Chain Unit. Further, the revision also factors in the proposed expansion of the project's capacity through the acquisition of additional land adjacent to the existing project site (for which the application has already been made), along with the consequent investment in additional plant and machinery and other capital expenditure required for the expanded capacity. The Board of Directors of ZF Steering Gear (India) Limited, being the holding company, has also accorded its consent to the aforesaid revision in project cost.
