Further to our earlier intimation dated October 13, 2026, the Company wishes to update that in terms of the Share Purchase Agreement dated October 13, 2026 (“SPA”), the Company has acquired balance 25% equity shareholding in BD&P Hotels (India) Private Limited (“BD&P Hotels”) on October 16, 2026. Accordingly, the entire equity shareholding of BD&P Hotels is now held by the Company/its nominee and thus, BD&P Hotels has become a wholly owned subsidiary of the Company. The consideration is paid/payable by the Company as per the timelines as agreed under the SPA. The details required to be disclosed under Regulation 30 of the SEBI Listing Regulations, read with the SEBI Master Circular No. HO/49/14/14(7)2025-CFDPOD2/I/3762/2026 dated January 30, 2026, were already furnished vide our intimation dated October 13, 2026.
