CORRIGENDUM TO THE NOTICE OF POSTAL BALLOT DATED SEPTEMBER 30, 2026
This corrigendum is being issued with reference to the Notice of Postal Ballot dated September 30, 2026,
along with the Explanatory Statement, issued by GP Petroleums Limited (“the Company”), in respect of
the resolutions set out therein. The remote e-voting facility commenced on October 2, 2026, at 9:00 a.m.
IST and will remain open until October 31, 2026, at 5:00 p.m. IST.
The Notice of Postal Ballot, along with the Explanatory Statement, was dispatched to the Members of the
Company by electronic means on October 1, 2026, pursuant to Section 110 read with Section 108 and
other applicable provisions, if any, of the Companies Act, 2013 (“the Act”), read with Rule 22 of the
Companies (Management and Administration) Rules, 2014 (“the Rules”), including any statutory
modi(cid:976)ication(s) or re-enactment(s) thereof for the time being in force, the Secretarial Standard on General
Meetings (“SS-2”), the Securities and Exchange Board of India (Listing Obligations and Disclosure
Requirements) Regulations, 2015 (“SEBI Listing Regulations”), and other applicable laws and regulations,
for seeking the approval of the Members of the Company.
This corrigendum is being issued to inform the Members of the Company of certain amendments to the
Explanatory Statement pertaining to Item No. 3 of the aforesaid Notice of Postal Ballot, as detailed
hereinbelow:-
1. Amendment to Point No. 15 – Pre‐ and Post‐Issue Shareholding Pattern
In Point No. 15 titled “Pre- and Post-Issue Shareholding Pattern”, the reference to the Conversion Price of
₹62.27/‐ per equity share shall be read as ₹62.09/‐ per equity share.
Accordingly, the relevant portion shall be read as follows:
“Since the OCDs are optionally convertible and the Investor’s conversion right is limited to the amount
speci(cid:976)ied above, the post-conversion shareholding will depend upon the extent to which the conversion
right is actually exercised. The table below has accordingly been prepared assuming conversion in full of
the maximum amount permitted to be converted, at the pre-determined Conversion Price of ₹62.09/- per
equity share.”
2. Amendment to Point No. 6(a) – Conversion Terms
In Point No. 6(a) titled “Conversion Terms”, the reference to 16,059 equity shares shall be read as 16,105
equity shares.
Accordingly, the relevant portion shall be read as follows:
“The OCDs shall be convertible in the ratio of 1:16105 into fully paid-up equity shares of the Company, i.e.,
16105 equity shares at a pre-determined Conversion Price of ₹62.09/- per equity share against each OCD,
determined with reference to the Relevant Date (being October 01, 2026, the date 30 (thirty) days prior
to the date on which the meeting of shareholders is held to consider the proposed preferential issue), in
accordance with Regulation 161(b) read with Regulation 161(a) of the SEBI ICDR Regulations.”
3. Amendment to Point No. 16 – Change in Control and the Percentage of Post‐Preferential Issue
Capital that May Be Held by the Proposed Allottee(s)
In Point No. 16 titled “Change in control and the percentage of post preferential issue capital that may be
held by the Proposed Allottee(s)”, the reference to the proposed issue of OCDs not resulting in any
“immediate change in control or management” shall be suitably modi(cid:976)ied to clarify that the proposed issue
and the conversion of OCDs, in accordance with the terms set out in the Notice, will not result in any change
in control or management of the Company, considering that the percentage of post-preferential issue share
capital that may be held by the Proposed Allottee(s) is only 3.06%.
Accordingly, the relevant portion shall be read as follows:
“The proposed issue of OCDs and the conversion thereof into equity shares of the Company, if exercised
by the Investor, will not result in any change in control or management of the Company, considering that
the percentage of post-preferential issue share capital that may be held by the Proposed Allottee(s) is
3.06%. The conversion of OCDs into equity shares of the Company shall be subject to the applicable
provisions of the SEBI ICDR Regulations, SEBI SAST Regulations, SEBI LODR Regulations and other
applicable laws. Further, Regulation 166A(1) of the SEBI ICDR Regulations, 2018, shall not be applicable
to the proposed issue, as the same is not expected to result in a change in control of the Company or an
allotment exceeding 5% of the post-issue fully diluted share capital of the Company to the proposed
allottee(s) or allottees acting in concert.”
All other terms and contents of the Notice of Postal Ballot dated September 30, 2026, along with the
Explanatory Statement, shall remain unchanged. This corrigendum shall be read together with the original
Notice of Postal Ballot and the Explanatory Statement.
This corrigendum to the Postal Ballot Notice shall form an integral part of the Postal Ballot Notice, which
has already been circulated to the Members of the Company, and from the date hereof, the Postal Ballot
Notice shall always be read in conjunction with this corrigendum.
Accordingly, all Members, Stock Exchanges, Depositories, the Registrar and Share Transfer Agent, evoting
agencies, regulatory authorities, and all other concerned parties have been duly informed of the above
changes.
