Demise of the Chief Executive Officer and Company Secretary The Board noted with deep sorrow the sad demise of Late Shri D J Bagchi, Chief Executive Officer and Company Secretary (Key Managerial Personnel) of the Company, on 3 September 2026. The Board placed on record its sincere appreciation of the valuable contribution made by the departed during their association with the Company. Consequently, the offices of the Chief Executive Officer and the Company Secretary/Compliance Officer stand vacant with effect from 34 September 2026. 2. Appointment of Interim Compliance Officer In terms of Regulation 6(1) of the SEBI LODR Regulations, a listed entity is required to appoint a qualified Company Secretary as the Compliance Officer. To ensure uninterrupted statutory and regulatory compliance, the Board approved the appointment of Shri Vivek Kapoor, Chief Financial Officer, as the Interim Compliance Officer of the Company with effect from 16th October 2026, to hold office until anew Company Secretary is identified and appointed by the Board. The Board noted that the vacancy will be filled within the timelines prescribed under Regulation 6 of the SEBI LODR Regulations and Section 203(4) of the Companies Act, 2013. The Company will update the Exchange on the appointment of the regular Company Secretary and Compliance Officer as and when it is made. Appointment of Manager Pursuant to the recommendation of the Nomination and Remuneration Committee, and in terms of Sections 2(53), 196, 197, 198 and 203 read with Schedule V of the Companies Act, 2013 and the rules made thereunder, and Regulation 26A of the SEBI LODR Regulations, the Board approved the appointment of Shri Vivek Kapoor as Manager of the Company (Key Managerial Personnel under Section 203(1) of the Act) for a term of 3 years with effect from 16th October 2026, on a remuneration of as per the terms set out in the appointment letter, subject to the approval of the shareholders at the ensuing Annual General Meeting. The Board noted that; e The appointee satisfies the conditions of Section 196(3) of the Companies Act, 2013 and Part I of Schedule V, and is not disqualified under the Act. e The remuneration is within the limits prescribed under Sections 197 and 198 read with Schedule V [and, if applicable, Section II of Part II of Schedule V]. e The vacancy in the office of CEO/Manager is being filled within the three- month period prescribed under Regulation 26A of the SEBI LODR Regulations. e The details required under Regulation 30 read with the SEBI Master Circular dated 11» November 2024 are given in Annexure A.
