It is informed that pursuant to Regulation 15(2) of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, the compliance with the Corporate Governance provisions as specified in Regulations 17, 17A, 18, 19, 20, 21, 22, 23, 24, 24A, 25, 26, 27 and clauses (b) to (i) and (t) of sub- regulation (2) of Regulation 46 and Para C, D and E of Schedule V shall not apply, in respect of the listed entity having paid-up equity share capital not exceeding Rs.10 Crores and net worth not exceeding Rs.25 Crores, as on the last day of the previous financial year. We hereby represent and certify that the provisions of Regulation 23(9) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended, pertaining to the submission of "Disclosures of Related Party Transactions", are not applicable to Shivamshree Businesses Limited as the Paid-up Equity Share Capital of the Company is Rs.7,56,50,000/- (Rupees Seven Crore Fifty-Six Lakh Fifty Thousand only), which is less than the stipulated threshold of Rs. 10 Crores. Furthermore, the Net Worth of the Company is Rs.8,26,89,000/- (Rupees Eight Crore Twenty-Six Lakh Eighty-Nine Thousand only), which is less than the stipulated threshold of Rs.25 Crores, as on the last day of the previous financial year, being March 31, 2026. Hence, the Company is not required to submit the "Disclosures of the Related Party Transactions" as per Regulation 23(9) of SEBI (LODR) Regulations, 2015 for the half-year ended on 30.09.2026.
