Sub: Outcome of the Board Meeting held on July 23, 2026
Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure
Requirements) Regulations, 2015 (“Listing Regulations”), we wish to inform you that the Board of
Directors of the Company (“the Board”) at its meeting held today i.e. July 23, 2026, has inter-alia
considered and approved the following matters:
1. Approval of Unaudited Financial Results for the quarter ended June 30, 2026
The Board has approved the Statements of Unaudited Financial Results (Standalone and
Consolidated) of the Company for the quarter ended June 30, 2026, pursuant to Regulation 33
of the Listing Regulations.
We are enclosing herewith a copy of the Statements of Unaudited Financial Results
(Standalone and Consolidated) of the Company for the quarter ended June 30, 2026, along
with Limited Review Reports thereon as Annexure 1, in the prescribed format pursuant to
Regulation 33 of SEBI Listing Regulations.
2. Change in Directors of the Company
a) Mr. Ambarish Dasgupta (DIN: 00160744), Non-Independent Non-Executive Director,
who is liable to retire by rotation at ensuing 33rd Annual General Meeting ("AGM") of the
Company in terms of Section 152(6) of the Companies Act, 2013, has expressed his
intention not to seek re-appointment upon such retirement, Accordingly, the Board has
taken note of the same and Mr. Ambarish Dasgupta will retire by rotation at the AGM
and cease to be a Director of the Company with effect from conclusion of the AGM,
considering potential conflict of interest in view of his consulting firm's proposed
expansion into Information Technology (IT)/ IT security domain in the near future, which
may overlap with the Company’s business.
b) Based on the recommendation of the Nomination and Remuneration Committee, the
Board has approved the appointment of Mr. Sanjay Vatsa (DIN: 05242096) as an
Additional Director, designated as Non-Independent Non-Executive Director liable to
retire by rotation, with effect from July 24, 2026, subject to approval of the shareholders
of the Company at AGM.
We hereby confirm that Mr. Sanjay Vatsa is not debarred from holding the office of director
by virtue of any SEBI order or any other such authority in terms of BSE circular
LIST/COM/14/2018-19 and NSE circular NSE/CML/2018/24 dated June 20, 2018.
The requisite disclosure as per the SEBI Master Circular No. HO/49/14/14(7)2025-CFD-
POD2/I/3762/2026 dated January 30, 2026, is enclosed as Annexure 2.
3. Change in Senior Management Personnel of the Company
Based on the recommendation of the Nomination and Remuneration Committee, the Board
has approved the appointment of Mr. Venu Gopal Reddy, Business Head – Infrastructure
Services, as Senior Management Personnel of the Company with immediate effect.
Details as required under SEBI Master Circular No. HO/49/14/14(7)2025-CFD-
POD2/I/3762/2026 dated January 30, 2026, are enclosed as Annexure 2.
4. Conversion of loan granted to NuRe FutureTech Private Limited, wholly owned
subsidiary, into redeemable preference shares and infusion of funds
The Board has approved conversion of outstanding loan along with interest amounting to
Rs. 11.11 crore granted by the Company to its wholly owned subsidiary namely NuRe
FutureTech Private Limited (“NuRe FutureTech”), into Redeemable Preference Shares to be
issued to the Company.
The Board has also approved fresh infusion of funds amounting Rs. 2 crore, by subscribing to
the redeemable preference shares of NuRe FutureTech, making total capitalisation of Rs. 13.11
crore.
Details as required under Regulation 30 of the Listing Regulations read with SEBI Master
Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, are
enclosed as Annexure 3.
5. Convening of 33rd AGM
The Board has approved convening of 33rd AGM of the members of the Company on
Friday, August 28, 2026, through Video Conferencing/ Other Audio-Visual Means.
The Board meeting commenced at 4.20 pm and concluded at 5.17 pm.

Annexure A – Brief Profile of Mr. Sanjay Vatsa
Mr. Sanjay Vatsa is financial services executive with over three decades of extensive global experience
across leading financial institutions and consulting organizations, including top-tier firms and Big 4
environments. He has built a distinguished career driving strategic growth, operational excellence and
large-scale transformation initiatives across geographies.
He has held senior leadership positions in reputed global organizations such as Apex Group, Inveniam
Capital Partners, Citibank, BlackRock, Merrill Lynch Investment Managers and Polaris Consulting. In
these roles, he has led global operations, transformation programs and strategic initiatives, while
managing large-scale business portfolios, P&L responsibilities, and cross-functional international
teams.
Mr. Vatsa possesses deep expertise in corporate strategy, global operations, transformation,
governance, risk and compliance and digital assets. He is known for establishing and scaling global
centres of excellence (COEs), optimizing cost structures and transforming underperforming business
models into agile, efficient and high-performing organizations, with a strong focus on enhancing client
experience.
He has served in key leadership and governance roles, including as Managing Director and Head of
Americas at Apex Group and President – International at Inveniam Capital Partners. He has also
contributed actively to professional and industry bodies, including serving as Chairman of the New
York Chapter of the Institute of Chartered Accountants of India, and as a Board member and Audit
Committee Chair in select organizations.
Mr. Vatsa holds a Master of Business Administration (MBA) from the Simon School of Business,
University of Rochester, and is an Associate Chartered Accountant from the Institute of Chartered
Accountants of India. He has also completed executive leadership programs at premier institutions
such as Wharton and Harvard, and is recognized as a thought leader in innovation, digital assets, and
