Proceedings (in brief)
The Meeting was conducted in accordance with the applicable provisions under the
Companies Act, 2013 [“the Act”] read with underlying rules, Listing Regulations and Circulars issued by the
Ministry of Corporate Affairs and the Securities and Exchange Board of India.
Mr. Kumar Mangalam Birla, Chairman of the Board, chaired the Meeting.
The details of Shareholders present at the Meeting were as follows:

The Chairman:
1. Welcomed the Shareholders to the Meeting and on requisite quorum being present, called the
Meeting to order.
2. Introduced and welcomed all the Directors, Key Managerial Personnel, representatives of
Statutory Auditors, Secretarial Auditors and Scrutinizers (for remote e-voting and e-voting at the AGM)
present at the Meeting through VC.
3. Informed the Shareholders that the:
a. Registers as required under the Act, were available for inspection;
b. The Integrated Annual Report containing, inter alia, the Financial Statements, Board’s Report,
and Statutory Auditors’ Reports, along with the Notice convening the AGM, for the year ended
March 31, 2026, were taken as read;
c. There were no qualifications, comments or observations in the Statutory and Secretarial
Auditors’ reports;
4. Thereafter, made his opening remarks and briefed the Shareholders on the following:
a. Macro-economic context and Aluminium & Copper Demand Outlook;
b. Innovation, Advanced Materials and Value-Added Solutions;
c. Capacity Expansion & Growth Investments;
d. Digital Transformation;
e. Sustainability Roadmap;
f. Financial performance;
g. Future Outlook and Value Creation Strategy.
5. Proceeded with the items of business as set out in the Notice convening the AGM and informed the
Shareholders that the following resolutions were proposed for their consideration and approval.

6. Invited the Shareholders to express their views, ask questions and seek clarifications on the
operations and financial performance of the Company and the resolutions proposed as above.
7. Appropriately responded to all the queries raised by the Shareholders.
8. Informed the Shareholders that the e-voting facility shall be available for 30 minutes post the
closure of proceedings of the Meeting, for those Shareholders who have not cast their votes during
the remote e-voting.
9. Informed that the voting results shall be declared and disseminated on the website of the Company,
the Registrar & Share Transfer Agent and the Stock Exchanges, as well as displayed on the Notice
Board of the Company, as per statutory requirements.
10. Thanked the Shareholders for their continued support, participating in the Meeting and constructive
suggestions.
The voting results pursuant to the SEBI Listing Regulations and Report of the Scrutinizer shall be submitted
in due course.

Chairman’s Speech
at the
Sixty-Seventh Annual General Meeting
held on
Thursday, July 23, 2026 – 3:00 p.m.
Dear Fellow Shareholders,
FY26 has been a remarkable year for your Company. We delivered the highest-
ever consolidated revenue for Hindalco at ₹2,74,944 crore. In terms of
performance, our Businesses delivered an all-time high consolidated EBITDA of
₹38,097 crore, the highest in history. We are also undertaking one of our most
ambitious global capacity expansion programmes, strengthening our ability to
meet market opportunities with confidence and scale.
Let me first talk about the broader macroeconomic context for Hindalco.
India's aluminium and copper industry is set to witness significant long-term
growth, driven by some of the most powerful trends shaping Viksit Bharat: large-
scale infrastructure development, an expanding AI infrastructure, growth in
renewable energy, accelerating adoption of EV mobility, etc.
As India continues its journey towards becoming a developed economy, the Indian
aluminium industry is entering a decisive growth phase. Today, per-capita
aluminium consumption in India is around 4 Kilograms, considerably lower than
the global average of 12 Kilograms. As consumption gradually converges toward
global levels, it unlocks substantial potential for demand growth.
According to the Ministry of Mines’s Vision Document on the Aluminium Sector,
India’s domestic aluminium consumption, estimated at 6.1 million tonnes in FY26,
is projected to increase to around 8.5 million tonnes by FY30 and nearly 28 million
tonnes by FY47. This is a five-fold growth.
This expansion in aluminium production will naturally drive higher demand for
critical raw materials. India aims to achieve complete domestic self-sufficiency in
both bauxite and alumina by 2035.
While aluminium will be central to the growth of mobility, infrastructure and
renewable energy, copper will play an equally critical role as the backbone of
