Sir/IVladam, Scrip Code: 538942 Sub: Intimation regarding Effectiveness of the Scheme of Amalgamation and Filing of Form INC-28 & Amendment to Memorandum of Association - Regulation 30 of SEBI (Listing Obligation and Disclosure Requirement) Regulations, 2015 and as amended Dear Sir / Madam, With reference to the Scheme of Amalgamation of India Radiators Limited (“Transferor Company”) with Mercantile Ventures Limited (“Transferee Company”) and their respective shareholders and creditors sanctioned by the Hon'ble National Company Law Tribunal, Division Bench (Court– I) Chennai, vide its Order dated July 08, 2026, the certified copy whereof has been received by the Company, we wish to inform you that the Transferee Company has filed Form INC-28 with the Registrar of Companies, Chennai, on 23'd July 2026, along with the certified copy of the aforesaid Order. Pursuant to the filing of e-Form INC-28 with the Registrar of Companies, the Scheme has become effective in accordance with its terms with efFect from July 23, 2026 ("Effective Date"). Further, upon the Scheme becoming effective, and in accordance with Clause 9 of the Scheme, the Authorized Share Capital ofthe Transferee Company stands increased from Rs. 13,009 Lakhs divided into 11,50,90,000 Equity Shares of Rs.10/- each and 1,50,00,000 Preference Shares of Rs.10/- each to Rs 15.109 Lakhs divided into 11,60,90,000 Equity shares of Rs 10/- each and 3,50,00,000 Preference Shares of Rs 10/- each and Clause V of the Memorandum of Association of the Transferee Company shall, without any further act, instrument or deed, be and stand altered, modified and amended by deleting the existing Clause and replacing it by the following: "The Authorised Share Capital of the Company is Rs 151,09,00,000/- (Rapees One Hundred and Fifty One Crores Nine takEs Only) divided into Ii,60,90,000 Equity shares of Rs 10/- each and 3,50,00,000 Preference Shares of Rs 10/- each with powers to increase or reduce the capital and divide the shares in the capital of the company for the time being into several classes and to attach thereto respectively any preferential, deferred or special rights and to vat); or modify or abrogate any such rights, privileges including voting or non-voting rights or on such conditions in such manner as may from time to time, be allowed as per the provisions of the Companies Act." Further pursuant to the effectiveness of the Scheme, i.e., July 23, 2026: 1. India Radiators Limited, the Transferor Company shall be dissolved without winding up. 11. the Board of Directors and any committees thereof of the Transferor Company shall without any further act, instrument or deed, stand dissolved.
