These results were reviewed and recommended by the Audit Committee and approved by the Board of Directors at their meetings held on July 23, 2026. The Statutory Auditors have carried out a limited review of the unaudited consolidated and standalone financial results and issued unmodified reports thereon. 2 The Company, through its subsidiary, Cyient Cayman Limited, acquired majority stake of 82.9% in Kinetic Technologies on April 8, 2026, upon satisfaction of the closing conditions for a consideration on 7,910 Mn (US$ 85 Mn), which included funds retained within Cyient Cayman Limited to support the ongoing operations amounting to { 1,023 Mn (US$ 11 Mn), resulting in net purchase consideration of { 6,887 (US$ 74 Mn). Further, the non-controlling shareholders have put option towards their shareholding on the Group, exercisable after four years based on the agreed terms. At the end of each reporting period, liability in respect of put option is recognized at present value of the redemption amount, wherein the non-controlling interests subject to put option is derecognised and the difference between the amount derecognised and present value of the redemption amount is accounted as an equity transaction. The transaction was accounted in accordance with Ind-AS 103, 'Business Combinations' and the initial accounting has been provisionally determined. The Group recognised { 2,792 Mn (US$ 30 Mn) towards the fair value of net assets acquired, {4,654 Mn (US$ SO Mn) towards goodwill, non-controlling interest on 465 Mn (US$ 5 Mn) and pre-combination employee stock options of { 93 Mn (US$ 1 Mn). Further, the Group has recognised a financial liability in respect of the put option granted to the non-controlling shareholders, measured at { 2,457 Mn (US$ 26 Mn) as of the acquisition date. From the date of acquisition, Kinetic Technologies has contributed revenue amounting to { 984 Mn (US$ 10.4 Mn) and loss before tax amounting to { 177 Mn (US$ 1.9 Mn) to the Group's performance.
