Texmo/Sec/2024-25/22 dated August 06, 2024 Sub: Disclosure under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 Dear Sir / Madam, This is with reference to the captioned subject and pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023 and as noted and taken on record by the Board of Directors of the Company in its meeting held on October 13, 2026, this is to inform you that an Award has been passed by the Hon’ble Sole Arbitrator on September 24, 2026 received to us with respect to the Company Texmo Pipes and Products Limited and Larsen and Toubro Limited, considering Arbitration matter interse business disputes between the Companies. The details required pursuant to the same, as per Regulation 30 read with Schedule III of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023 is as under: 1 Brief details of litigation viz. name of the Name of the opposing party: Larsen and opposing party: Toubro Limited Brief details of litigation: The Company ‘Larsen and Toubro Limited’ and our Company ‘Texmo Pipes and Products Limited’ undergone Arbitration Proceedings by Hon’ble Sole Arbitrator appointed by the Hon’ble Madras High Court, Chennai under the Arbitration and Conciliation Act,1996 for adjudicating commercial matters arising out of business transaction. In this respect, an Award has been passed by the Hon’ble Sole Arbitrator on September 24, 2026 received to us awarding, partly allowing claim of latter, an amount of Rs. 25.66 cr. to pay the applicant with interest at the rate of eight percent per annum, and costs. The Hon’ble Sole Arbitrator dismissed the Counter-Claims and the outstanding legitimate dues of Rs. 23.51 cr. of us stating the same is outside the scope and purview of Arbitration agreement, however, it states that the same is open to us to challenge it in other court of law or appropriate forum. Court/Tribunal/agency where litigation is file: Hon’ble Sole Arbitrator. 2 Expected financial implications, if any, due to The monetary value awarded is Rs. 25.66 compensation, penalty etc.: cr. with interest and costs. 3 Quantum of claims, if any: With the verdict of the said Arbitral Alward, the Company does not foresee any operational impact on the Company. The Company and its counsels are analysing and evaluating the said Award and shall take suitable legal recourse. The Company believes to have a strong case on merits to pursue the matter.
