1. Annual Report 2025-26 and Notice of 38th Annual General Meeting
We are enclosing a copy of Annual Report for the Financial Year 2025-26 (including Business Responsibility
and Sustainability Report) and the Notice convening the 38th Annual General Meeting of PNB Housing
Finance Limited (Company) scheduled to be held on Monday, August 17, 2026 at 03.00 P.M. (IST) through
Video Conferencing (VC)/ Other Audio Visual Means (OAVM) facility in accordance with the relevant Circulars
issued by the Ministry of Corporate Affairs and the Securities and Exchange Board of India.
These documents are being circulated to shareholders through electronic mode whose e-mail addresses are
registered with the Company or their Depository Participant(s) (“DPs”). Further, in accordance with Regulation
36(1)(b) of the Listing Regulations, the Company will send a separate communication to shareholders whose
e-mail addresses are not registered with the Company/DPs, providing a web link including the exact path to
access the Annual Report and the said notice on the Company’s website.

The Company has engaged the services of National Securities Depository Limited (NSDL) for the purpose of
providing remote e-voting facility and facility of e-voting during the AGM (e-voting) to its members. Details of
e-voting are as follows:
Cut-off date for determining Tuesday, August 11, 2026
entitlement for e-voting
Commencement of e-Voting 9.00 a.m. (IST) on Thursday, August 13, 2026
End of e-Voting 5.00 p.m. (IST) on Sunday, August 16, 2026
During this period, Members holding shares as on the cut-off date may cast their votes either through remote
e-voting or e-voting during the AGM.
This intimation is pursuant to Regulation 30, 34 and 53 of the Securities and Exchange Board of India (Listing
Obligations and Disclosure Requirements) Regulations, 2015.
