Sir/Madam, Serip Code: 505100 Sub: Intimation regarding Effectiveness of the Scheme of Amalgamation and Filing of Form INC-28 - Regulation 30 of SEBI (Listing Obligation and Disclosure Requirement) Regulations, 2015 and as amended Dear Sir / Madam, With reference to the Scheme of Amalgamation of India Radiators Limited (“Transferor Company”) with Mercantile Ventures Limited (“Transferee Company”) and their respective shareholders and creditors sanctioned by the Hon'ble National Company Law Tribunal, Division Bench (Court- I) Chennai, vide its Order dated July 08, 2026, certified copy whereof has been received by the Company, we wish to inform you that the Transferor Company has filed Form INC-28 with the Registrar of Companies, Chennai, on 23 July 2026, along with the certified copy of the aforesaid Order. Pursuant to the filing of e-Form INC-28 with the Registrar of Companies, the Scheme has become effective in accordance with its terms with effect from July 23, 2026 ("'Effective Date"). Further pursuant to the effectiveness of the Scheme, i.e., July 23, 2026: i. The Transferor Company shall be dissolved without winding up. ii. the Board of Directors and any committees thereof of the Transferor Company shall without any further act. instrument or deed, stand dissolved.
