The Board, inter alia, considered and approved the following: 1. Issuance of Non-Convertible Debentures The Board of Directors has approved the issuance of listed, rated, unsecured, redeemable non- convertible debentures ("NCDs"), on a private placement basis, in one or more tranches and/or series, for an aggregate amount not exceeding INR 10,000 Crore. The Board has also approved the related issuance framework and authorised the Finance Committee to determine and approve the tranche-specific terms and conditions of the NCDs, including matters relating to their issuance, allocation and allotment, within the framework approved by the Board. The disclosures required under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 shall be made at the appropriate stage, upon issuance and/or allotment of the NCDs. 2. Resignation of Mr. Gautam Doshi Mr. Gautam Doshi (DIN: 00004612) has tendered his resignation as a Non-Executive, Independent Director of the Company with effect from 12 October 2026, citing personal reasons. He has confirmed that there are no material reasons for his resignation other than those stated in his resignation letter. Consequent upon his resignation, he has also ceased to hold positions on the Committees of the Board of Directors of the Company. The Board of Directors has taken note of the resignation of Mr. Gautam Doshi and placed on record its sincere appreciation for the valuable guidance and contributions made by him during his tenure as an Independent Director of the Company. The details required under Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 are provided in Annexure A and the resignation letter of Mr. Gautam Doshi is enclosed herewith as Annexure B.
