Dear Sir/Madam, Pursuant to Regulation 30 read with Clause 14 of Para A of Part A of Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), and in continuation of our earlier intimation dated September 10, 2026, we wish to inform you that the shareholders of the Company have passed a Special Resolution through Postal Ballot for alteration of the Main Objects and Ancillary Objects clauses of the Memorandum of Association (“MOA”) of the Company by amending Clause III(A) and Clause III(B), respectively, through the insertion of new sub-clauses 7, 8, 9 and 10 under Clause III(A) (Main Objects) and new sub-clauses 67 and 68 under Clause III(B) (Ancillary Objects), as set out below: Main Object: 7. To carry on the business of importers, exporters, traders, buyers, sellers, stockists, distributors, suppliers, dealers and agents of all ferrous and non-ferrous metals and non-metals, including but not limited to copper, copper scrap, copper cathodes, copper wire rods, copper concentrates, copper alloys, aluminium, zinc, lead, nickel, tin, brass, bronze, steel, iron, and scrap thereof, in any form whatsoever, and to import and Export the same from India and abroad and to sell, resell, distribute and supply the same in the domestic Indian market and elsewhere, either on wholesale or retail basis, on cash or credit basis, directly or through agents, dealers, distributors, e-commerce platforms or otherwise. 8. To carry on business as clearing and forwarding agents, custom house agents, freight forwarders and to undertake all activities incidental to the import of metals, non-metals and scrap thereof, including customs clearance, warehousing, storage, handling, transportation, packing, repacking, grading, sorting, blending and processing thereof. 9. To act as commission agents, indenting agents, consignment agents and stockists for metals, non-metals and allied products on behalf of domestic and foreign principals, and to enter into contracts, proforma invoices, purchase orders, sale agreements and allied commercial arrangements for the purchase, sale, supply and distribution thereof. 10. To carry on the business of recycling, reprocessing, refining, smelting and converting metal and non- metal scrap into ingots, billets, rods, wires, sheets and other saleable forms, and to trade in the products so manufactured or processed. Ancillary Object: 67. To carry on, in India or elsewhere, the business of producing, processing, generating, manufacturing, converting, trading, buying, selling, exporting, importing, reselling, wholesaling, retailing and distributing renewable energy and energy products generated, produced or derived from solid, liquid, gaseous and other renewable and alternative resources, including solar, wind, hydro, biomass, organic waste and other renewable feedstocks; to manufacture, process, formulate, produce, trade, buy, sell, import, export, distribute and otherwise deal in renewable and alternative fuels and energy carriers, including hydrogen, green hydrogen, methanol, biogas, compressed biogas (CBG) and other liquid, gaseous and solid fuels; to manufacture, process, formulate, trade, buy, sell, import, export, distribute and otherwise deal in fertilizers, bio-fertilizers, organic fertilizers, soil conditioners, manures and other agricultural inputs and products derived from or associated with biomass, organic waste and renewable resources; to undertake consultancy, research, development and implementation relating to biomass feed materials, briquettes, pellets, biochar and other renewable energy, waste-to-energy, waste-to-resource and resource-recovery solutions; to research, develop, implement and trade in carbon capture, carbon utilisation, carbon removal and other related technologies and equipment; and to deal in all products, by-products, machinery, apparatus, plants, systems, equipment, technologies and infrastructure connected with or incidental or ancillary to the aforesaid businesses, including the establishment, development, construction, operation, maintenance and management of renewable energy, alternative fuel, hydrogen, methanol, biomass processing, waste-to-energy, waste-to-resource, carbon management and related plants, projects and infrastructure. 68. To carry on the business of providing, supplying, outsourcing, recruiting, appointing, placing and deploying manpower and personnel of all categories, including skilled, semi-skilled, unskilled, trained and untrained workers, employees, staff, executives, professionals, technical personnel and other human resources, on permanent, temporary, contractual, casual, outsourced or other basis, to individuals, companies, bodies corporate, institutions, government and semi-government organisations and other entities in India or elsewhere; and to undertake contract staffing, manpower outsourcing, labour contracting, recruitment, placement, payroll and human resource management services and to provide consultancy in relation to, and carry on trading of all the business activities incidental or ancillary thereto.
