During the year under review the Company had voluntarily surrendered its Certificate of Registration (CoR) as a Non-Banking Financial Company (NBFC) to the Reserve Bank of India (RBI). In response, RBI has vide its Cancellation Order dated 24th July, 2025 cancelled the CoR. Consequently, the Company has amended its Memorandum of Association (MOA) and Articles of Association (AOA) to reflect the change in its principal business objectives. The Company is now engaged in the business of acquiring, undertaking, promoting, running, managing, owning, lease, converting, building, hiring, letting on hire hotels, restaurants, café, rest houses and purchasing, selling or dealing in all types of movable or immovable properties for development, investment, leasing or for resale. Industry Structure and Developments The Indian real estate sector continues to be one of the key contributor to the country’s economic growth, supported by rapid urbanization, infrastructure development, increasing disposable incomes, and favourable government initiatives. Policy measures such as RERA, GST reforms, digitization of land records, PMAY, REIT regulations, and infrastructure investments have improved transparency and strengthened buyer confidence. The residential segment continues to witness healthy demand, particularly in the mid-income and premium housing segments. Commercial real estate has shown resilience driven by demand from Global Capability Centres (GCCs), technology companies and flexible workspace operator Demand for logistics, warehousing and industrial parks continues to remain strong owing to the expansion of e-commerce and manufacturing. Interest rate movements, inflationary pressures and construction cost escalation remain key factor influencing the sector. Economic Overview India remains one of the fastest-growing major economies globally. Stable macroeconomic fundamentals, increasing urbanisation, infrastructure spending, digital transformation and favourable demographics continue to support long-term growth in the real estate sector. Government initiatives including Smart Cities Mission, PM Gati Shakti, metro rail expansion and industrial corridor development are expected to generate sustained demand for residential and commercial developments.
