Dear Sir/ Madam,
Sub: Disclosure under Regulation 30 of the Securities and Exchange Board of India (Listing
Obligations and Disclosure Requirements) Regulations, 2015 as amended (“SEBI LODR
Regulations”)
This is in furtherance to our earlier intimations dated July 28, 2026 and February 20, 2026, pertaining to
Wind World (India) Limited, a company incorporated under the provisions of the Companies Act, 1956,
having corporate identification number (CIN) U31200DD2003PLC003236 (“WWIL”), conveying the
resolution plan dated February 13, 2026 (read with the addendum dated May 20, 2026) (“Resolution Plan”)
submitted by the consortium comprising Inox Neo Energies Limited (“INEL” or “Lead Member”) and
Authum Investment & Infrastructure Limited (“Company”) (together, “Consortium”) for acquisition of
WWIL, was approved by the NCLT vide its order dated July 27, 2026 (“NCLT Approval Order”).
The financial commitment of the Company under the Resolution Plan as consideration for the purchase of
certain identified assets of WWIL was INR 350,00,00,000 (Indian Rupees Three Hundred and Fifty Crore).
We wish to inform that the Company has fulfilled the aforesaid financial commitment by remitting the
aforementioned consideration to WWIL (after deducting statutory payments such as TDS, to be filed on
behalf of WWIL).
Additionally, as communicated earlier, the Resolution Plan provided an option for the Lead Member and
the Company to agree on terms and conditions for infusion by the Company of debt / equity in WWIL.
However, since the scheme of arrangement forming part of the Resolution Plan, was not approved by the
NCLT vide the NCLT Approval Order, the Consortium revised the transaction structure / structure for
implementation of the Resolution Plan (pursuant to such flexibility under the Resolution Plan), which was
approved by the implementation and monitoring committee vide its resolution dated August 31, 2026
(“Revised Structure”). In terms of the Revised Structure, the Lead Member and the Company had an
option to agree on terms and conditions for infusion by the Company of debt / equity in Vibhav Energy
Private Limited, one of implementation entities of the Lead Member (“VEPL”).
In view of the above, pursuant to an inter corporate deposit agreement dated September 28, 2026 (“ICD
Agreement”), the Company had disbursed an amount of INR 100,00,00,000 (Indian Rupees One Hundred
Crores) to VEPL, which amount has, in terms of the ICD Agreement, on October 09, 2026, been converted
into equity shares of VEPL representing 25% (twenty-five percent) of the paid-up share capital of VEPL
(as calculated on a fully diluted basis), and the Company has, on October 09, 2026, received intimation
from VEPL that such equity shares have been allotted to the Company.
Further, the details required under Regulation 30 of SEBI (LODR) Regulations, 2015 read with SEBI
