We hereby clarify that at the time of acquisition of shares on March 25, 2026 by M/s D L Millar & Co. Ltd (DLM), a promoter group company, D L Millar & Co. Ltd was not aware that excess shares of M/s Premier Polyfilm Limited had been purchased without adequate margin being maintained with the Depository Participant (DP). Further, no communication or intimation was received from the DP regarding the requirement to settle the account. As a result, a debit balance arose in the DP account as on March 31, 2026. Consequently, the DP exercised its rights and pledged 21,882 shares of M/s Premier Polyfilm Limited held in the ledger account of D L Millar & Co. Ltd as on that date. Additionally, as on March 31, 2026, the broker had created a pledge on such shares held by D L Millar & Co. Ltd., which was not captured in the earlier disclosure due to the reasons stated above. We further state here that there is no change in the total number of shares as stated in our previous submission dated 04-04-2026 i.e. 7,29,24,477 equity shares consisting of 69.62% of the total share capital of the company. In order to ensure accurate and complete disclosure in compliance with Regulation 31(4) of the SEBI (SAST) Regulations, 2011, we are submitting herewith the revised disclosure reflecting the pledge of shares as on March 31, 2026. We regret the inadvertent omission in the earlier submission and request you to kindly take the revised disclosure on record.
