Sub: Request for Reclassification from the 'Promoter Group' category to 'Public' category of Avenue Supermarts Limited (the "Company") under Regulation 31A of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("SEBI Listing Regulations") Dear Sir/ Madam, I, Vijay Shankar Chandak, currently hold 7,100 equity shares of Rs. 10 each in the Company, representing 0.001% of the total equity share capital. These equity shares were transmitted to me during the quarter ended September 30, 2025, upon the demise of my spouse, Mrs. Chanda Chandak, Promoter Group of the Company Pursuant to the transmission, I have been classified as a 'Promoter Group' in the shareholding pattern submitted by the Company with the BSE Limited and National Stock Exchange of India Limited for the quarter ending September 30, 2025, December 31, 2025 and March 31, 2026, in accordance with the Regulation 31A(6)(a) of SEBI Listing Regulations. I do not exercise any control over the Company, nor I am involved in the management of the Company. I also do not hold any special rights in the Company through formal or informal arrangements. Accordingly, I seek reclassification of my shareholding status from 'Promote Group' category to 'Public' category, subject to necessary approvals from the Board of Directors, stock exchanges and any other regulatory authorities, as may be required. I hereby confirm and certify that: 1. I, together with, persons related to me: a. do not hold more than t~n percent of the total voting rights in the company; b. do not exercise control over the affairs of the company, directly or indirectly; c. do not have any special rights with respect to the company through formal or informal arrangements including through any shareholder agreements; d. are not being represented on the board of directors (including not having a nominee director) of the Company; e. do not act as a key managerial person of the Company; f. are not 'wilful defaulter(s)' as per the Reserve Bank of India Guidelines; g. are not fugitive economic offender. 2. There is no pending regulatory action against me. 3. I shall continue to comply with the conditions mentioned at sub-clauses (i), (ii) and (iii) of clause (b) of Regulation 31A(3) of SEBI Listing Regulations at all times from the date of reclassification, failing which, I shall be reclassified as person belonging to the promoter group of the Company. 4. I shall comply with the conditions mentioned at sub-clauses (iv) and (v) of clause (b) of Regulation 31A(3) of SEBI Listing Regulations for a period of not less than three years from the date of reclassification, failing which, I shall be reclassified as person belonging to promoter group of the Company. I hereby request you to consider and approve my application for reclassification of my shareholding from the "Promoter Group" category to "Public" category in accordance with the provisions of Regulation 31A(6)(b) of SEBI Listing Regulations and to obtain necessary approvals from the Stock Exchanges in compliance with Regulation 31A thereof.
