In compliance with Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and
Disclosure Requirements) Regulations, 2015 (“Listing Regulations”) please find enclosed combined Voting
Results of remote e-voting and e-voting at the Annual General Meeting, with respect to the businesses
transacted at the 30th Annual General Meeting (“AGM”) of the Company held on Wednesday, 22nd July
2026 at 3:30 p.m. (IST) {concluded at 6.23 p.m. IST}, through Video Conferencing, in the prescribed format,
together with the consolidated Scrutinizer’s Report thereon, enclosed as ‘Annexure 1’.
All three (3) resolutions proposed in the Notice convening the 30th AGM of the Company were approved
and passed by the Members of the Company with requisite majority.
The voting results declared along with the consolidated Scrutinizer’s Report shall be hosted on the website
of the Company at – https://www.clubmahindra.com/investors/investor-information/shareholder-
meetings and on the website of KFin Technologies Limited at https://evoting.kfintech.com. The same will
also be displayed at the Notice Board of registered and corporate office of the Company.

Paid up Equity Share Capital of 20,20,56,152 Equity Shares includes the following:
a. 3,66,624 equity shares representing 0.18% of share capital of the Company were held by Mahindra
Holidays & Resorts India Limited Employee Stock Option Trust as on cut-off date of 15th July 2026,
which are governed under SEBI (Share Based Employee Benefits and Sweat Equity) Regulations,
2021. As provided in these Regulations, the Trustees of the said Trust are not entitled to vote in
respect of the shares held by such Trust and have not voted on any resolutions proposed at the
30th Annual General Meeting (“AGM”).
b. 10,774 equity shares representing 0.01% of share capital of the Company have been transferred to
Investor Education and Protection Fund Authority. The voting rights on these shares shall remain
frozen until the rightful owner claims the shares.
c. 187 equity shares representing 0.00% of the share capital of the Company are held in the Mahindra
Holidays & Resorts India Limited Unclaimed Shares Suspense Account, which was opened by the
Company for holding unclaimed shares allotted pursuant to Initial Public Offer. The voting rights on
these shares shall remain frozen until the rightful owner claims the shares.
Point a to c, as mentioned above, applies to all the resolutions passed at 30th AGM.

Sub.: Consolidated Scrutinizer’s report on remote e-voting conducted pursuant to provisions of Section 108 of the
Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration) Rules, 2014 and e-voting
conducted at the 30th Annual General Meeting of Mahindra Holidays and Resorts India Limited (“AGM”) held on
Wednesday, July 22, 2026, at 03.30 P.M. IST through Video Conferencing (“VC”) / Other Audio-Visual Means
(“OAVM”).
Dear Sir,
1. I, Mukesh Siroya, Proprietor, M Siroya and Company, Practicing Company Secretaries, have been appointed as
a Scrutinizer by the Board of Directors of Mahindra Holidays and Resorts India Limited (the “Company”) for
the purpose of:
a. Scrutinizing the remote e-voting under the provisions of Section 108 of the Companies Act, 2013 (“the 2013
Act”) read with Rule 20 of the Companies (Management and Administration) Rules, 2014 as amended
(“Rules”) and the provisions of Regulation 44 of the Securities and Exchange Board of India (Listing
Obligations & Disclosure Requirements) Regulations, 2015 (“Listing Regulations”) on the resolutions
contained in the notice dated April 27, 2026 convening the AGM (“AGM Notice”) and
b. Scrutinizing the e-voting facility provided to the shareholders who attended the AGM through VC/OAVM
and who had not cast their vote earlier.
2. The management of the Company is responsible to ensure the compliance with the requirements of the Act and
Rules relating to remote e-voting and e-voting during the AGM. My responsibility as a Scrutinizer is restricted
to scrutinize remote e-voting and e-voting during the AGM in a fair and transparent manner and to ascertain
requisite majority and is restricted to making a Consolidated Scrutinizer’s Report of the votes cast “in favour of”
and/or “against” the resolutions stated in the AGM Notice, based on the report generated from the e-voting
system provided by KFin Technologies Limited (“KFintech”), appointed by the Company to provide the facility
of remote e-voting and e-voting during the AGM.
3. I submit herewith a Consolidated report on the results of remote e-voting and e-voting during the AGM as
under:
i. The remote e-voting period remained open from 09:00 A.M. (IST) Friday, July 17, 2026 to 05:00 P.M. (IST)
Tuesday, July 21, 2026.
ii. The Annual Report and the AGM Notice inter-alia indicating the process and manner of e-voting was sent by
electronic mode to those Members whose e-mail addresses were registered with the Company or
Depositories Participants or Registrar and Transfer Agent – KFIN Technologies Limited pursuant to the

circulars issued by the Ministry of Corporate Affairs (“MCA”) and applicable provisions of Listing
Regulations.
iii. The voting rights were reckoned as on Wednesday, July 15, 2026, being the cut-off date for the purpose of
deciding the entitlements of members at the remote e-voting and e-voting during the AGM.
iv. The Company had also provided e-voting facility to the members present at the AGM through VC/OAVM
and who had not cast their e-votes earlier through the remote e-voting.
v. After the conclusion of the AGM, the votes cast through remote e-voting and e-voting during the AGM were
