Proposal for enhancement of borrowing limit from Rs. 30,000 Crore to Rs. 35,000 Crore during the financial year 2026-27 through various sources including Domestic Bonds (Secured/ unsecured, non-convertible, cumulative/ non-cumulative, redeemable, taxable/ tax-free under private placement). (ii). Proposal for borrowing of funds of up to Rs. 35,000 Crore during the financial year 2027-28 through various sources including Domestic Bonds (Secured/ unsecured, non-convertible, cumulative/ non-cumulative, redeemable, taxable/ tax-free under private placement). (iii). Appointment of M/s. R. M. Bansal & Co., Cost Accountants and M/s. Chandra Wadhwa & Co., Cost Accountants as the joint Cost Auditors of the Company for the Financial Year 2026-27. The proposals under Sr. Nos. (i) & (ii) above as approved by the Board of Directors are subject to approval of shareholders in the ensuing Annual General Meeting. The requisite disclosure, pursuant to Regulation 30 read with Part A, Para A, of Schedule III of SEBI LODR and in terms of SEBI Master Circular dated 30th January, 2026 in respect of approval mentioned under Sr. No. (iii) is enclosed herewith as Annexure-A.
