The Nomination and Remuneration Committee, after due evaluation, identified and recommended Mrs. Viji Shankaren (DIN: 11985124), Mr. Karuppana Gounder Rajendran (DIN: 11987059) as suitable candidates for appointment as Directors on the Board of the Company. Based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors approved the identification of the aforesaid individuals as proposed Directors, subject to obtaining the prior approval of the Reserve Bank of India (RBI). Subsequent to the approval of RBI, the approval of Board and shareholders would be sought within the prescribed period. Pursuant to Chapter III of Reserve Bank of India (Non-Banking Financial Companies - Governance) Directions, 2025, the appointment of above-mentioned directors is subject to the prior approval of Reserve Bank of India (RBI). Accordingly, the Company would be filing application in the "PRAVAAH" Portal of RBI seeking their appointment on the Board. The necessary disclosure pertaining to the abovesaid appointment as per Regulation 30 of SEBI (LODR) Regulations, 2015 read with SEBI Master Circular No.HO/49/14/14(7)2025-CFD- POD2/I/3762/2026 dated January 30, 2026, shall be made to the stock exchanges after their appointment becomes effective. 2. Considered and approved the appointment of Mrs. Mathangi G as the Chief Financial Officer (CFO) of the Company with effect from 9th October 2026, based on the recommendation of the Nomination and Remuneration Committee.
