Sub: Revised Submission – Proceedings of 2nd (Post-completion of the Corporate Insolvency Resolution
Process) Annual General Meeting (AGM)
Ref: Email received from BSE Limited dated October 07, 2026, regarding delayed submission of the
proceedings of the AGM
Dear Sir/Madam,
This is with reference to the above-mentioned email received from BSE Limited regarding the delayed submission
of the proceedings of the 2nd (Post-completion of the Corporate Insolvency Resolution Process) Annual General
Meeting (“AGM”) of the Company held on September 30, 2026.
The AGM of the Company was scheduled to commence at 03:30 P.M. (IST) and commenced at 03:56 P.M. (IST)
through Video Conferencing (“VC”)/Other Audio-Visual Means (“OAVM”) and concluded at 04:08 P.M. (IST).
Reason for Delay in Submission
The Company respectfully submits that, following conclusion of the AGM, the proceedings were required to be
prepared, finalised and internally reviewed to ensure the accuracy and completeness of the disclosure, followed by
completion of the requisite internal approval process prior to submission to the Stock Exchange.
Further, the Company Secretary and Compliance Officer of the Company was not keeping well at the relevant time.
Notwithstanding the same, she attended and conducted the AGM to ensure compliance with the applicable statutory
and regulatory requirements. Her health condition also affected the timely preparation, finalisation and internal review
of the proceedings of the AGM.
The aforesaid circumstances, along with the time required for completion of the requisite internal approval process,
resulted in the submission of the AGM proceedings being made beyond the prescribed timeline. The proceedings
were subsequently submitted to the Stock Exchange on October 1, 2026, at 12:39:23 P.M. (IST).
The Company sincerely regrets the delay and respectfully submits that the same was purely inadvertent and
unintentional. There was no intention to withhold, suppress or defer any information required to be disclosed to the
Stock Exchange.
The Company has taken note of the matter and has reiterated the requisite internal timelines and review process to
ensure timely submission of disclosures in accordance with the applicable regulatory requirements going forward.
In this regard, please find enclosed herewith the proceedings of the AGM, with the above explanation for the delay
in submission.
The Company humbly requests the Exchange to kindly take the above clarification and revised corporate
announcement on record.
Thanking You,
