Approve the monetization of Company's immovable property situated at Kanjurmarg, Mumbai and enter into conveyance deed or agreement with M/s. R Siddhatva Developers Private Limited, a step down subsidiary company of M/s. Runwal Construction Private Limited I have carried out the work as the Scrutinizer from the close of the remote e-voting period i.e., 5:00 PM 1ST on Saturday, June 27, 2026. The Management of the Company is responsible to ensure compliance with the requirements of relevant provisions of the Companies Act, 2013 ("Act"), rules made there under and various circulars issued by the Ministry of Corporate Affairs, Government of India and the S_ecurities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("SEBI Listing Regulations"), relating to Postal Ballot through voting by electronic means. My responsibility as Scrutinizer is restricted to prepare a report of the votes cast in favour of or against the Resolutions contained in the Postal Ballot Notice dated 13th May, 2026, of the Company, based on the reports generated from the e-voting system provided by Nationar Securities Depository Limited ("NSDL"), the authorised agency to provide remote e-voting facility engaged by the Company for this purpose. In this connection, I hereby submit my report, as under: 1.The Postal Ballot was conducted in compliance with the provisions of Section 110 and other applicable provisions, if any, ofthe Act read with Rule 20 and Rule 22 of the Companies (Management and Administration) Rules, 2014 ("Rules"), Regulation 44 of the SEBI ·usting Regulations, General Circular No. 14/2020 dated 8th April, 2020, and General Circular No. 17 /2020 dated 13th April, 2020 read with other relevant circulars, including General Circular No. 3/2025 dated 22nd September, 2025 issued by the Ministry of Corporate Affairs, Government of India ("MCA Circulars"), the Secretarial Standard on General Meetings (55-2) issued by the Institute of Company Secretaries of India (IC5I) and any other applicable laws, rules and regulations (including any statutory modification(s) or re enactment(s) thereof for the time being in force) for seeking consent/approval of the members of the Company through Postal Ballot only by way of voting through electronic means (remote-voting) on the Resolutions as set out in the Postal Ballot Notice dated 13th May, 2026, of the Company. 2. The Company had, on 25th May, 2026, dispatched Postal Ballot Notice along with explanatory statement setting out material facts under Section 102 of the Act and rationale for recommendation of the items of business by the Board of Directors pursuant to Regulation 17(11) of the SEBI Listing Regulations (by way of Ordinary/ Special Resolutions, as the case may be), through electronic mode to the members of the Company whose e-mail addresses were registered with the Company, its Registrar & Share Transfer Agents (RTA}, CDSL/ NSDL or in the Register of Beneficial Owners maintained by the Depositories as on Friday, May 15, 2026. - 3. As stated in Sub-rule 3 of Rule 22 of Companies (Management and Administration) Rules, 2014, as amended, advertisements were published by the Company in 'Financial Express', ('English Newspaper') and Mumbai Lakshdeep ('Marathi Newspaper') on 27th May, 2026, informing about the completion of dispatch of Postal Ballot notice to the members of the Company, along with other related matters mentioned therein. 4. The Company had availed the e-voting facility offered by NSDL for conducting remote e-voting by the members of the Company.
