Sarawagi & Associates, Company Secretaries, have been appointed as the Scrutinizer for the purpose of scrutinizing the Postal Ballot Process conducted through Electronic Voting (e-voting), in a fair and transparent manner and ascertaining the result thereof, in respect of the Special Resolution transacted through Postal Ballot Process, for seeking approval of the Members of IFGL Refractories Limited for appointment of Mr. Mukesh Harshadrai Rawal (DIN: 11676514) as a Whole- time Director of the Company, designated as Director and Chief Executive Officer India, for a period of three years from 16th August, 2026, liable to retire by rotation, and payment of remuneration to him. In compliance with the provisions of Sections 108 & 110 of the Companies Act, 2013 (“the Act”) read with Rules 20 and 22 of the Companies (Management and Administration) Rules, 2014 and the General Circulars No. 14/2020, No. 17/2020 and No. 03/2025 dated 8th April, 2020, 13th April, 2020 and 22nd September, 2025, respectively, issued by the Ministry of Corporate Affairs (hereinafter, collectively referred to as the “MCA Circulars”) and Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI LODR Regulations”), the Company had sent the Postal Ballot Notice dated 5th September, 2026, through e-mail on 8th September, 2026 to all those Members whose name appeared in the Register of Members /List of Beneficial Owners as received from National Securities Depository Limited (“NSDL”) and Central Depository Services (India) Limited (“CDSL”) as on 4th September, 2026 (“cut-off date”) and provided the facility of voting through electronic means. The Postal Ballot Notice dated 5th September, 2026 was also placed on the website of the Company, BSE Limited, National Stock Exchange of India Limited and NSDL at www.ifglgroup.com, www.bseindia.com, www.nseindia.com and www.evoting.nsdl.com, respectively. Compliances of the provisions of the Act, the Rules framed thereunder, the MCA Circulars and the SEBI LODR Regulations, relating to voting through electronic means on the Postal Ballot by the Members of the Company on the Resolution contained in the Postal Ballot Notice dated 5th September, 2026, are responsibilities of the Management of the Company.
