With reference to the proceedings of the Board meetings held on 21st August, 2026 and 19th September, 2026, as submitted to BSE Limited, the Board of Directors, at its meeting held on 8th October, 2026, reconsidered the matter relating to the proposed issue of Equity Shares on a Preferential Allotment Basis and approved the revised list of Proposed Allottees, as set out in Annexure I hereto. Accordingly, the earlier submissions/proceedings made to BSE Limited in relation to the aforesaid proposed preferential allotment shall stand superseded and replaced by the present submission to the extent of the revised list of Proposed Allottees set out in Annexure I. All other terms, conditions, approvals and decisions relating to the proposed preferential allotment, as previously considered and approved by the Board, shall remain unchanged and continue to apply. The Board further considered and approved the proposal to make an application to BSE Limited for obtaining the requisite in-principle approval for listing of the Equity Shares proposed to be issued on preferential allotment basis, in accordance with the applicable provisions of the SEBI Regulations and the requirements of the Stock Exchange. The Board authorised the appropriate officer(s) of the Company to make the necessary application, submit requisite documents and information, and undertake all such acts, deeds and things as may be necessary in connection with obtaining the said in-principle approval and completing the proposed preferential issue. The above proposal is in furtherance of the equity infusion/restructuring proposal considered by the Board at its meeting held on lOth July, 2025, pursuant to which the revised share capital structure contemplated equity infusion by the Implementing Entity.
